Job Description:

In addition to having experience with or the ability to manage and coordinate the work of U.S. and foreign outside counsel in litigation and other matters, Corporate Counsel for K-Swiss Inc. (dba K-Swiss Global Brands and KSGB) will provide advice and other legal services in each of the following areas:

Intellectual propertyunder both U.S. and foreign law with a heavy emphasis on trademarks, including infringement risk, application regimes, registration and maintenance, prosecutions, and proper use.Familiarity with domain name ownership issues and dispute resolutions options is also very useful.

Commercial transactionsrequiring non-specialist familiarity with distribution and license agreements under both U.S. and foreign law, manufacturing agreements, and pricing and sales channel restrictions under U.S. law.

Marketing and advertising requiring non-specialist familiarity legal requirements applicable to advertising statements, the licensing of publicity rights (of both athletes and influencers), and non-specialist familiarity with music licensing.

Employmentrequiring non-specialist familiarity with termination-related risks and compliance with employee classification and data privacy requirements.

Corporate governance and maintenance requiring non-specialist familiarity with procedures, practices and documents (e.g., minute book maintenance) relating to K-Swiss Inc. and its subsidiary companies.

Other practice areas in which non-specialist familiarity is useful are IT and social media vendor contracts, basic corporate tax concepts, the basics of U.S. litigation practices (discovery requirements, in particular), and leases for warehouse and office space.Corporate counsel will work closely with KSGB Brand Presidents, the CFO and marketing, sales and operations VPs and managers, the KSGB Director of Human Resources, and the China parent companys legal, HR, and budget personnel.

The ability to distinguish legal from business issues and to give cogent oral and written summaries of risks and options are important aspects of the job. Fluency in Mandarin is highly desirable.

Candidates should have 7 to 15 years experience.
