Assistant General Counsel - Growing Multifamily DeveloperA rapidly growing multifamily real estate development firm based in Palm Beach County, is seeking an experienced and highly motivated Assistant General Counsel (AGC) to join its legal team. The AGC will work directly with the General Counsel (GC) and provide strategic legal counsel to senior executives across the organization. This position will primarily focus on managing the day-to-day legal needs of the firm's development, acquisition, and operational activities.
Key Responsibilities:
- Advise the General Counsel and senior management on legal matters related to multifamily real estate development, acquisitions, operations, and other business activities.
- Oversee vendor compliance programs and conduct due diligence in connection with acquisitions, financing, joint ventures, and other transactions.
- Review, draft, and negotiate a variety of commercial agreements, including property management agreements, construction contracts, purchase and sale agreements, loan agreements, joint venture agreements, and other real estate-related contracts.
- Assist in managing the firm's litigation portfolio by coordinating with outside counsel on ongoing cases, settlement negotiations, and dispute resolutions.
- Identify and manage legal and business risks across the organization, providing strategies to mitigate risk and protect the company's interests.
- Oversee corporate governance matters, including compliance with the Corporate Transparency Act and other regulatory requirements.
- Maintain and update corporate policies and procedures to ensure the firm's operations are in compliance with legal and regulatory standards.
- Collaborate with cross-functional teams, including development, finance, and operations, to provide legal support and guidance on key business projects.
- Advise on and summarize material business agreements and legal documents for senior management to support decision-making processes.
- Support the GC with various ad hoc legal matters as required by the firm's growing business.
Qualifications:
- Juris Doctor (JD) from an accredited law school and licensed to practice law in good standing in a U.S. jurisdiction (preferably Florida).
- At least 3 years of experience in a law firm real estate department or in-house legal department, with a focus on multifamily real estate development, acquisitions, or operations.
- Strong understanding of real estate law, corporate governance, regulatory compliance, and construction-related matters.
- Experience with reviewing, drafting, and negotiating contracts including property management agreements, construction contracts, purchase and sale agreements, loan agreements, joint venture agreements, and other commercial real estate contracts.
- Proven ability to manage litigation matters and coordinate with outside counsel on disputes, settlements, and case management.
- Demonstrated ability to oversee vendor compliance programs and conduct due diligence for acquisitions, developments, and financing transactions.
- Familiarity with the Corporate Transparency Act and other relevant regulatory requirements is a plus.
- Exceptional written and verbal communication skills, with the ability to effectively interact with senior management, outside counsel, and other stakeholders.
- Strong organizational and project management skills with the ability to prioritize tasks, manage deadlines, and work independently in a fast-paced environment.
- A proactive approach to problem-solving with a high level of attention to detail and accuracy.
- Prior experience in the multifamily real estate sector, including development and construction matters, is strongly preferred but not required.
