This role is subject to a flexible hybrid work arrangement requiring a minimum of 1-2 pre-determined days per week in our mid-town office.SUMMARYUnder direction from the Chief Legal Officer and/or the Associate General Counsel, the Assistant General Counsel is responsible for preparing and reviewing a variety of legal documents, including consulting and confidentiality agreements, letters of intent, and term sheets and researching complex legal issues. Provides legal counsel, guidance, and representation internally at CRF on complex matters. May conduct, coordinate, and/or participate in litigation, legal projects, and interacting with outside counsel.ESSENTIAL DUTIES AND RESPONSIBILITIES
- Provides legal review and/or advice to management; participates in the development of policies and procedures.
- Studies proposed and existing legislation affecting CRF and advises concerned departments; conducts research and analysis of legal resources to support advice; reviews contracts, provides advice, negotiates and facilitates transactions.
- May represent CRF in complex negotiations and/or court actions; prepares legal briefs, memorandums and other reports.
- Supervises and directs outside counsel.
- Interacts with other CRF departments to provide advice on legal issues.
- Participates in activities that increase legal knowledge, professional expertise, and the delivery of quality services. Conducts educational sessions, prepares compliance plans, prepares and facilitates implementation plans.
- Drafts and negotiates confidentiality agreements for situations in which CRF provides confidential information and in which CRF receives confidential information.
- Educates and trains CRF personnel about legal issues.
- Identifies risks and proposes alternative structures to mitigate risks involved in potential transactions.
- Participates in a wide variety of special projects and compiles a variety of special reports.
- Additional duties as assigned.
QUALIFICATIONS
- Juris Doctorate degree from an American Bar Association accredited law school.
- Member in good standing of the New York Bar.
- 2 - 5 years experience as a practicing lawyer.
- Previous employment or experience in health care industries, hospitals, academic medical centers, universities, contract research organizations and not-for-profit organizations.
- Experience working with data privacy laws and regulations.
- Exposure to and/or familiarity with the following areas of law: contract, healthcare, and life sciences.
- Demonstrated managerial skills.
- Ability to identify risks and propose alternative structures to mitigate risks.
- Proficiency in Microsoft Excel, Word, and Outlook.
- Excellent research and writing skills as demonstrated by past draft examples.
- Excellent communication skills, as well as patience, professionalism and ability to effectively interact with staff and management.
- Excellent analytical and problem solving skills.

COMPENSATION The hiring range for this position is $130,000 - $160,000 per year.
