This position will support both the compliance legal function and the ethics & compliance regional office functions in St. Louis, as directed by management. This individual will work very independently. This position will reside in the United States of America and will be based in the NAHC St. Louis Headquarters. This position will be responsible for all aspects of compliance program management and strategy, and will be responsible for developing and improving ethics and compliance programs, monitoring compliance performance, investigating and managing hotline reports and other requests or disclosures, developing and implementing ethics and compliance training and communications, drafting and revising policies, and enforcing regulations in all aspects and levels of business as well as providing general guidance on compliance matters.   • Support Compliance Counsel/RCO - Americas (all sub-regions) and operate as a key representative of the Americas Compliance Office and the Nidec Corporation Compliance Office in the U.S.A. and Canada.
  • Develop, execute, assess, and improve of Americas Region (or country sub-region) ethics and compliance programs, investigations, training, and communications (including communications, postings, meeting administration, etc.).
  • Monitor, track, review, and process data and documents regarding compliance requirements and performance in our business and ensure that our operations and governance partners have the information they need to ensure they are in compliance with all local, state and federal laws, as well as other guidelines, regulations, and policies that govern business practices.
  • Develop, manage, administer, and oversee control and compliance systems (including the company's hotline, case management, and learning systems) to prevent or deal with violations of legal guidelines and internal policies, provide efficient customer service, and automate/facilitate data entry, user administration, reporting and analytics effectively.
  • Prepare and provide Ethics & Compliance documents, communications, policies, training, and reports for senior management and external regulatory bodies as appropriate for informed strategic and risk-based planning including new ventures, mergers & acquisitions, and new third party selections.
  • Collaborate and partner closely with, and provide legal, ethics, and compliance advice and recommendations to other governance functions, operations, and support management teams to measure and monitor departmental policies and internal controls for compliance issues and effectiveness, prepare and conduct risk assessment and control plan management processes, and support revision procedures, reports, etc., periodically to identify hidden risks or non-conformity issues to make sure that the entire company is aware of compliance requirements and issues.
  • Keep abreast of regulatory developments within or outside of the company as well as evolving best practices in compliance controls and conduct legal research on various ethics and compliance legal matters as they arise.
  • Analyze and interpret contract provisions in order to provide legal, ethics, and compliance guidance to internal stakeholders.
  • Provide support as needed to the Vice President of NAHC Legal Services as requested and needed.
  • Manage and delegate tasks, as appropriate, to outside counsel or other non-departmental internal or external investigators or forensic support contractors.
  • Interact and develop professional relationships with other members of the law department and internal and external stakeholders to support Nidec's business goals.
  • Other responsibilities as assigned.
Qualifications & SkillsMinimum Qualifications
  • Ability to work in the United States
  • No travel restrictions with any governmental entity (current, valid passport).
  • Law degree (J.D. or equivalent) from an ABA-accredited law school.
  • License to practice law in a minimum of one state.
  • 2+ years' proven experience as a Compliance Officer, Compliance Manager, Compliance Counsel, or similar position.
  • Knowledgeable in the field of global ethics and compliance programs.
  • English fluency required (written, verbal).
  • Demonstrated experience working in cross-functional or cross-cultural work or project team(s).
  • Ability and willingness to travel domestically and internationally if required or appropriate.
  • Methodical and diligent with outstanding planning abilities, analytical mindset, and excellent organizational skills including the ability to prioritize work tasks to provide high-quality work product to meet internal and external deadlines.
  • Strong computer skills, including proficiency with Microsoft Office (Word, Excel, SharePoint, PowerPoint, Teams) and Adobe Acrobat.
  • Strong business acumen partnered with a dedication to legality.
  • Excellent business judgment and the ability to work closely with a variety of businesses and personnel to provide timely legal advice and drive practical business solutions.
  • Ability to work independently with high attention to detail, strong organization skills and management focus.
  • Exceptional interpersonal, communication, negotiation skills, listening skills and skills in presenting findings and recommendations to multiple audience types.
  • Excellent developer of relationships, ability to successfully communicate with and influence various departments and levels of personnel, and to repair broken or damaged relationships to ensure success.
  • In-depth knowledge of the industry's processes, standards and regulations, reporting procedures and record-keeping.
Preferred Competencies - Knowledge, Skills and Abilities:
  • Law degree (J.D. or equivalent) from an ABA-accredited law school, ranking in the top 50% of graduating class.
  • License to practice law in Missouri.
  • Information Systems Data Management, PHR, SHRM, CFE, CCEP, Data Privacy, or another similar certificate/credential.
  • 2+ years' experience in ethics, financial or other fraud investigations.
  • Multi-Lingual (Spanish, Japanese, Chinese, Portuguese preferred)
  • Experience or expertise in Canada law.
  • Mastery of Microsoft Office Applications (Excel, Word, PowerPoint, Teams, SharePoint, Visio, etc), Google office tools, analytics software (Tableau, Alteryx, etc.), database development and administration, and reporting concepts such as dashboards and scorecards.
  • Experience building and improving hotline, e-learning, or GRC platform(s) and negotiating systems contracts.
  • Experienced in database and system administration, Boolean search engines, etc.
  • ISO 9001, 26000, 27001, 31000, 37001, 45001 knowledge, certification, experience preferred
