Job Description:

Associate Counsel (New York, NY): Our client, a successful and growing private equity firm, is seeking a motivated lawyer to join their lean team in a newly created role. This is a unique opportunity to join an $8B+ fund in a true generalist position, working in a #2 capacity supporting the GC/CCO. This is an excellent opportunity for a lawyer junior in their career to thrive under the mentorship and leadership of an exceptional GC/CCO who has been working in a standalone capacity.

Responsibilities:

  • Lead the team in preparation for regular compliance reviews, exams, and certifications; prepare and review regulatory filings (Form ADV 1, 2a, 2b, and Form D&A)
  • Draft and negotiate routine corporate, fund, and transaction-related documents
  • Support legal structuring and have oversight of fund formation
  • Oversee the review of marketing materials and other communications to ensure compliance
  • Conduct research with respect to compliance and regulatory issues; develop new compliance initiatives and modify policies and procedures as necessary
  • Administer the Code of Ethics to all employees; monitor employee compliance and assist with employee compliance training
  • Assist in fundraising (LP due diligence and side letter reviews); advise on transaction-related legal and structuring matters
  • Monitor and track the introduction of new products in conjunction with peers, to prepare fund structure charts and legal entity lists for new businesses and for existing fund families and investment structures
  • Draft corporate and other related documents, track terms and advise finance, operations, and deal teams on the above

Qualifications:

  • J.D. required
  • 2 - 3 years of experience in the Investment Management/Private Funds division of a law firm or direct work at an investment manager
  • Exceptional analytical and problem-solving abilities, including proficiency in project management
  • Expertise in private equity advantageous
  • Intellectually curious with a proactive attitude and work style
  • Committed and dependable work ethic

Compensation: $160-200K base; $200-260K all-in
