Job Overview

Arkham is seeking an Associate General Counsel, Corporate and Commercial to join our legal team. In this role, you'll provide strategic legal guidance on corporate governance, transactions, and commercial matters. You'll play a pivotal role in structuring Arkham's corporate framework, supporting board-level activities, and advising on commercial agreements.

This role can be based in the New York or Punta Cana, Dominican Republic, for candidates open to working in the Caribbean.

Key Responsibilities

  • Advise on and manage the development of Arkham's corporate governance structure to align with current and future business needs.
  • Counsel on federal, state, and international corporate compliance for Arkham's U.S. and offshore subsidiaries.
  • Support corporate governance matters, including preparing materials for board meetings and related activities.
  • Lead any corporate transactions pursued by Arkham.
  • Advise on and administer corporate and executive policies, including equity compensation plans.
  • Review and negotiate commercial contracts as needed.
  • Provide legal counsel on internal corporate matters and other legal issues, including tax, employment, marketing, and litigation.

About You

  • J.D. from an ABA-accredited law school.
  • Licensed to practice law in New York, Connecticut, or New Jersey, or eligible for admission.
  • 8+ years of experience as a practicing lawyer at a top-tier law firm or in-house at a reputable financial services or technology company.
  • Proven experience as lead counsel on corporate governance and transactional matters.
  • Strong knowledge of relevant digital asset and financial services regulations.
  • Exceptional legal writing and research skills, with a focus on drafting and revising contracts.
  • Experience managing a team of attorneys.
  • Passion for crypto and an understanding of the unique risks facing the industry.
  • Self-starter and critical thinker with the ability to manage multiple matters simultaneously.
  • Willingness to adapt to a fast-moving regulatory environment and learn cutting-edge technologies in distributed cryptosystems and AI.
  • Excellent communication and interpersonal skills, with the ability to partner across business units.
  • Drive to support the growth of a groundbreaking enterprise with precision and adherence to the highest ethical standards.

Compensation

  • Base Salary: $200,000–$250,000 USD.
  • Potential for long-term incentives and additional benefits.
