Job Description:

The Associate General Counsel will provide legal counsel and guidance on a range of legal matters within Nikon Inc. and its affiliate, Red Digital Cinema, Inc on corporate governance, contracts, regulatory compliance, risk management, intellectual property and litigation. This position will navigate legal complexities and make informed decisions that align with the law while supporting Nikon's strategic objectives. Provide advice and counsel to employees concerning the laws that impact their functional areas. Oversees the preparation of legal documents and assists in supervising legal administrative staff. Under the guidance of the General Counsel, the Associate General Counsel will work closely, collaboratively, and proactively with members of the Legal Department as well as Nikon Management.

ESSENTIAL FUNCTIONS AND AREAS OF RESPONSIBILITY:

  • Provide legal counsel and guidance in various areas and aspects of the law including manufacturing, litigation, contracts, intellectual property, antitrust, data privacy, technology, commercial, real estate transactions, regulatory and employment.
  • Effectively manage the legal affairs of Nikon's California affiliate, Red Digital Cinema, Inc., and also support the legal affairs of Nikon Inc.
  • Negotiate, draft and review contracts and agreements with suppliers, dealers and distributors.
  • Negotiate, draft and review non-disclosure and confidentiality agreements.
  • Negotiate, draft and review real estate leases and related agreements.
  • Handle and provide counsel with respect to the legal aspects of supplier and customer complaints and issues, including dealer, distributor and consumer complaints and issues.
  • Review and interpret existing contracts and other legal documents and provide counsel with respect to the company's obligations under these documents.
  • Coordinate litigation, supervise outside counsel, and represent the Company at both adversary and non-party proceedings.
  • Work with management in the development of and review legal aspects of sales programs, promotions, marketing materials, advertising and related matters.
  • Perform legal research and write memoranda on Red and Nikon related legal issues.
  • Provide guidance and instruction to Counsels and Legal Assistants.
  • Keep General Counsel apprised of pending matters and seek advice when needed.
  • Provide training to employees on issues and matters related to law.
  • Work outside of normal hours of operation, as needed, in order to fulfill essential functions.
  • Be available to work during Red Digital Cinema Inc.'s Pacific time zone standard work hours.

ANCILLARY RESPONSIBILITIES:

  • All other duties as required or needed.

QUALIFICATIONS:

  • Strong working knowledge of California laws, rules, and regulations, and also provisions of California constitutions.
  • Strong working knowledge of legal research software such as Westlaw.
  • Ability to handle a fast-paced environment and to multi-task efficiently based on the nature of the transaction and the jurisdiction.
  • Strong proficiency in MS Office skills including Word, Excel and PowerPoint.
  • Strong drafting and negotiating skills, and a detail-oriented approach to the delivery of work.
  • Demonstrated ability to effectively communicate (verbal and written) legal and strategic advice with diverse stakeholders.
  • Strong commitment to handling matters with integrity, care, respect, and confidentiality.
  • Ability to prioritize work from multiple internal clients and Nikon companies and escalate as needed, including engaging and directing external counsel to coordinate and deliver advice.
  • Excellent presentation skills.
  • Ability to travel up to 40% including domestic and possible international travel.

EDUCATION, SKILLS & EXPERIENCE:

  • 10 + years of diversified legal experience including, but not limited to, litigation, anti-trust (distribution law), transactional, commercial and real estate law with a law firm or in-house legal department.
  • 2 + years supervisory experience within legal environment.
  • Juris Doctorate.
  • Notary Public, State of NY.
  • Continuing Legal Education.

Compensation depends on a variety of factors including but not limited to; knowledge, skills, experience, education and location. The range for this position is $166,000-$232,000.
