Position Overview: We are seeking a highly motivated and experienced Associate to join the expanding Private Funds department in our New York office. The successful candidate will play a crucial role in advising clients on the formation, structuring, and management of private investment funds, including private equity funds, hedge funds, and venture capital funds. Key Responsibilities:
- Assist in the formation and structuring of private investment funds, including drafting and negotiating fund documents such as limited partnership agreements, subscription agreements, and offering memoranda.
- Provide legal advice and support to clients on regulatory and compliance matters, including SEC regulations, Investment Advisers Act, and other relevant laws.
- Conduct legal due diligence and risk assessments for fund formations and investments.
- Advise on ongoing fund operations, including investor relations, fund governance, and compliance issues.
- Collaborate with internal teams and external advisors to deliver comprehensive legal solutions to clients.
- Stay abreast of industry developments, regulatory changes, and market trends affecting private investment funds and provide proactive guidance to clients and colleagues.
- Support senior attorneys in complex transactions and provide mentorship to junior associates and paralegals.
Requirements:
- JD from a top-tier law school and admission to the New York State Bar.
- 3-5 years of post-qualification experience in private funds law, preferably gained at a leading law firm or in-house legal department.
- Strong expertise in private fund formation, structuring, and regulatory compliance.
- Excellent drafting, negotiation, and analytical skills, with meticulous attention to detail.
- Ability to work independently and collaboratively in a fast-paced, team-oriented environment, managing multiple priorities and deadlines effectively.
- Strong communication and interpersonal skills, with the ability to build trusted relationships with clients and colleagues.
- Demonstrated ability to manage complex transactions and deliver high-quality legal services.
