Job Description:

Our client, a leading global manufacturer, is seeking an securities counsel to join their legal team and provide expert guidance on SEC compliance & corporate governance to the executive leadership team(s).

Responsibilities:

  • Provide expert legal advice on SEC compliance, including the Securities Act of 1933, the Securities Exchange Act of 1934, and related SEC rules and regulations.
  • Develop, implement, and maintain corporate governance policies and practices to ensure compliance with legal and regulatory requirements.
  • Advise on matters related to insider trading, including the development and enforcement of insider trading policies.
  • Oversee executive compensation and benefits programs, ensuring compliance with applicable laws and regulations.
  • Conduct regular compliance audits and risk assessments to identify potential areas of vulnerability and implement corrective actions.
  • Monitor and analyze regulatory developments and trends to ensure the company remains compliant with new and existing laws.
  • Prepare and file required regulatory reports and disclosures.
  • Collaborate with internal teams, including legal, finance, HR, and operations, to provide comprehensive legal support.
  • Conduct training sessions for employees on compliance, corporate governance, insider trading, and executive compensation-related topics.
  • Manage and respond to regulatory inquiries and examinations from various regulatory bodies, including the SEC.
  • Represent the company in interactions with regulatory bodies and external stakeholders.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active bar membership in good standing.
  • Minimum of 6 years of experience in securities law.
  • In-depth knowledge of federal securities laws, SEC regulations, and corporate governance principles.
  • Strong understanding of insider trading laws and executive compensation regulations.
  • Excellent analytical, problem-solving, and organizational skills.
  • Strong written and verbal communication skills.
  • Ability to work independently and as part of a team.
  • High ethical standards and a commitment to integrity.
