Summary: Provide legal and advisory support for an active corporate and commercial real estate portfolio of approximately 5 million square feet, with a concentration on leasing, vendor and professional service agreements and corporate governance documents. Conduct legal research and provide technical advice and recommendations to senior management and internal business units as necessary on a range of leasing, real estate, contracts, insurance, corporate governance and compliance issues. Schedule & Location: This is a non-exempt, office-based position Monday through Friday in Waltham, MA. This position is eligible for one remote day per week on either Tuesday or Friday, based on business needs. May require occasional travel and evening conference calls based on business needs.
- Prepare, review and interpret commercial leases, lease amendments, letters of credit, licenses, consents to assignment/subletting, non-disclosure agreements, guaranties, tenant estoppel certificates, ROFOs/ROFRs, bills of sale and brokerage/commission agreements with a fundamental knowledge and understanding of commercial terms and business practices.
- Draft, negotiate and review vendor and professional services contracts recognizing when to elevate questions of risk and compliance to HBRE Chief Counsel or other internal stakeholders when appropriate.
- Maintain corporate minute books, file annual reports, draft resolutions and practice appropriate and effective systems of corporate governance.
- Conduct due diligence for real estate acquisitions and dispositions.
- Perform title review, legal research and analysis including zoning and permitting matters.
- Support and manage the working relationships with all internal business partners (asset management, operations, construction, finance, IT, HR, etc.).
- Prepare and make recommendations on leasing, contract and corporate governance issues to HBRE Chief Counsel, as needed.
- Proactively support and manage compliance initiatives, training, special projects, real estate filings and perform associated general clerical duties as required.
Required Education:
- Bachelor's degree
- Paralegal certificate or degree in paralegal studies preferable
Required Work Experience:
- 5+ years in a real estate/corporate paralegal position
- Background in real estate ownership, transactions and management
- Experience with general contract matters, corporate formation and governance
Required Skills:
- Excellent verbal and written communication skills with experience working with sensitive and confidential information
- Advanced organizational skills
- Motivated team player as well as the capacity to work independently and efficiently with minimal supervision
- Ability to prioritize, multi-task and manage several projects at once under a tight schedule
- Detail oriented
- Skilled at legal research and writing (familiarity with Practical Law Connect)
- Proficient in Word, Excel, PowerPoint and Outlook
The hiring range for this position is $37.74-$54.23 per hour . The final salary offer will vary based on individual education, skills, and experience.
