Position Overview We are looking for a dynamic Contract Manager to join our Rolling Stock team in vibrant Sacramento, California. In this role, you will play a pivotal part in navigating the exciting landscape of government procurement and contracts. Your mission? To negotiate and handle a diverse range of contracts, championing our innovative solutions while ensuring compliance with regulatory standards (DOT, FRA, FTA).We are responsible for strategically handling contracts and claims and disputes that may arise with those contracts. As part of our team, you will provide legal advice during public procurements, contract negotiations, and project execution, including drafting claims, position papers, and other legal documents. The ability to efficiently explain complex legal topics to our business partners and drive potential issues to a consensus decision is crucial. To thrive in this role, you have:
  • Law degree (admitted to practice in a U.S. jurisdiction) and significant contract claims management experience with relevant experience in governmental contracts.
  • Attorneys: Minimum of one (1) year of practical work experience in commercial transactions and commercial litigation OR Non-Attorney Contract Managers: Minimum of eight (8) years of contract management experience in a corporate or government environment.
  • Experience preparing and defending claims against/from customers and suppliers
  • Excellent legal research and drafting skills are necessary to perform the job requirements effectively.
  • Validated experience identifying legal risks and opportunities
  • Ability to deliver high-quality legal advice and documents within tight timeframes and simultaneously manage ongoing assignments
What your day-to-day will look like:
  • Analyze, evaluate, and resolve diverse matters with commercial customers, partners, and suppliers.
  • Identify and assess the primary contractual risks, opportunities, requirements, and communication.
  • Ensure all contracts accurately reflect business objectives and align with all state and local laws and regulatory requirements.
  • Cooperate with the project management team to define the contract/legal strategy for projects.
  • Consult with management and draft official correspondence towards public owners and suppliers promptly, transparently, and professionally.
  • Monitor contract conditions and events (e.g., duration, consequences, losses), deadlines, milestones, and contract-related correspondence.
  • Identify claim possibilities and prepare claims along with supporting arguments and documentation.
  • Defend against external customer, partner, and supplier claims by presenting relevant exonerative facts and documentation.
  • Prepare for and participate in claim negotiations, pre-litigation matters, and project management by conducting legal research and writing.

The base salary range for this position in Sacramento, CA, is $119,900 - $162,000, and the annual incentive target is 10% of the base salary.
