Job Description:
We are seeking candidates with four to five years of experience advising public companies on securities compliance (financial reporting and other '34 Act compliance matters) and corporate governance. Candidates should have demonstrated experience on a wide variety of securities law compliance, disclosure and corporate governance matters. This position will work closely with other members of the firm's Public Companies & Governance team to assist with day-to-day securities law counseling, as well as handling significant governance transactions, such as executive succession, corporate crises, shareholder proposals and other shareholder activism. Prior experience with general corporate matters, including securities offerings and/or mergers and acquisitions is helpful, and some prior in-house experience is also valued. The successful candidate also will have strong academic credentials, strong communication skills, a commitment to being highly responsive and a demonstrated interest in public company compliance and corporate governance. Faegre Drinker's Public Companies & Governance team serves as primary securities compliance and governance counsel to more than sixty public companies spanning diverse industries, which include companies ranging from newly public emerging growth companies to Fortune 500 companies. The anticipated initial annual salary range for someone who is hired into this position is $245,000 - $265,000. Actual initial salary may be above or below the above-identified range and will be based on the relevant skills, training, experience, and other job-related factors, including the location of where the position is filled and consistent with applicable law. The initial salary range listed above is just one component of Faegre Drinker's total compensation and benefits package for attorneys, which includes, but is not limited to, productivity and discretionary bonuses; life, health, accident and disability insurance; and a 401(k) plan.
