Description: Job Posting: Corporate AssociateLocation: Stamford, New Haven, or New York office locationsPosition OverviewOur client, a respected mid-size law firm known for high-quality, sophisticated legal work and a commitment to work-life balance, is seeking an experienced Corporate Associate to join their team. The firm provides an entrepreneurial environment with a genuine path to partnership, offering associates the opportunity to build their practice and contribute to the firm's growth.Key ResponsibilitiesDraft, negotiate, and review complex transactional documents for mergers and acquisitions (M&A), venture capital, and other corporate transactions.Advise clients on securities law compliance, corporate governance matters, and regulatory issues.Collaborate with internal and external teams to structure, negotiate, and close sophisticated business transactions.Provide strategic legal advice to clients across a variety of industries to support their corporate goals.Participate in due diligence, drafting of ancillary documents, and coordinating transaction closings.Contribute to business development initiatives and establish long-term client relationships.Preferred Experience and Skills3–6 years of experience in a law firm setting, with a focus on M&A, venture capital, and complex corporate transactions.Proficiency in drafting and negotiating complex agreements, including purchase agreements, shareholder agreements, and other corporate documentation.Familiarity with securities law compliance and corporate governance is highly desirable.Strong analytical skills with the ability to provide pragmatic, business-oriented legal advice.Excellent communication, organizational, and project management skills.Ability to work collaboratively with colleagues and clients in a fast-paced, dynamic environment.QualificationsJ.D. from a top-tier law school with strong academic credentials.Admission to the bar in New York or Connecticut.Demonstrated ability to work independently and manage multiple priorities effectively.Commitment to excellence and delivering results that meet or exceed client expectations.Benefits and CompensationSalary Range: $160K - $212,500, based on experience and other relevant factors.Bonuses: Additional compensation for exceeding billable hours expectations.Billable Hours Expectation: 1800 hours annually, with 150 hours applicable toward pro bono or DEI work.Benefits Package:Comprehensive medical, dental, and life insurance.Short-term and long-term disability insurance.Commuting expense benefits plan.401(k) savings plan.4 weeks of vacation/benefit time.Why Join?This role offers the chance to engage in sophisticated legal work while maintaining a balanced lifestyle.
