Job Description:

Primary Purpose of Role

This position will be principally responsible for supporting the commercial agenda for Iron Mountain's global data center business, including advising the regional management, sales, procurement, and support functions on legal matters and strategic questions, negotiating, preparing, or vetting and resolving legal issues with respect to customer contracts, licensing/reseller agreements, and vendor/supplier agreements; and instructing and coordinating with external legal counsel in handling matters, including contentious disputes and claims related to the foregoing. The individual must act as a conscientious business partner, delivering high quality and commercially-focused legal advice, and collaborate with global legal team members, including reporting into the Director, Senior Corporate Counsel, Data Center, located in Birmingham, UK and actively supporting the Legal Manager, Senior Corporate Counsel, located in New England, US.

In addition, the individual will work closely alongside a paralegal/contract manager.

Key Accountabilities

Working with a diverse team of professionals across multiple functions, regions, and time zones, and building collaborative relationships with regional and global team members.

Leading/supporting the negotiation and drafting of a range of commercial agreements while managing multiple business transactions in accordance with approved contracting / governance / compliance practices.

Managing issues that arise with respect to commercial transactions, including advising the business on the implementation and interpretation of contract terms.

Developing an understanding of Iron Mountain's business and associated legal issues, including Iron Mountain preferred positions in contracting negotiations.

Working with internal Legal Operations to implement and follow the approved processes for selecting, instructing, and managing external counsel, and monitoring all assignments effectively with appropriate reporting to the business and oversight of performance.

Developing strategies for handling legal issues in creative and business-centric ways; and building / improving processes that address risk while allowing the business flexibility to move quickly.

Key Relationships

Main internal and external contacts will be:

  • Global legal team, with regular contacts being the data center legal team
  • Sales and procurement teams
  • Privacy and compliance teams
  • Customers, contractors, and suppliers
  • Professionals – external law firms, accountants/auditors, and other technical consultants

Knowledge/Skills/Experience

Required/Minimum Qualifications

  • For individuals located in the United States, a Juris Doctor degree from an accredited law school, bar admission in at least one U.S. state, and a minimum of three years of relevant legal experience.
  • For individuals located in Europe, at least 3 years of post qualification experience (or equivalent).

Knowledge/Skills/Experience

  • Knowledge of commercial, corporate, or real estate law;
  • Strong drafting and negotiating skills in connection with business-to-business transactions;
  • Strong knowledge of contract risk mitigation strategies and the ability to develop creative solutions to contracting challenges in customer, vendor, and other partnership contract negotiations;
  • Private practice / In-house experience, preferably with a technology-oriented company;
  • Ability to deliver timely results for multiple deals/projects with varying time pressures;
  • Ability to work with cross-functional teams;
  • Flexibility, initiative, and ability to prioritize work
  • High degree of initiative with the ability to work independently and collaboratively in a team environment;
  • Confidence in advising and influencing senior stakeholders, and ability to partner effectively with other corporate functions and senior leadership
  • Desire to work and collaborate in a team environment
  • Openness to new ideas and ways of working.
  • Knowledge of privacy law is a plus.
  • Mobility Requirements: Travel rarely required.
