Job Summary

The North American division of Compass Group, which represents 65% of the global organization, is offering an exciting opportunity within its Legal Department at its U.S. headquarters in Charlotte, NC. We are currently seeking a Corporate Counsel to provide legal support to the Mergers & Acquisitions team, which oversees the acquisition of assets and stock of companies located within the United States. A successful candidate will have experience working on a variety of M&A matters, deal negotiation and analysis, agreement drafting and advising business leaders. A strong sense of partnership and a commercial viewpoint are paramount, as multiple business departments are involved in each transaction. This position will report to the Managing Legal Counsel - Corp. Governance & Transactions.

Responsibilities:
  • Responsible for managing a variety of M&A transactions for Compass Group USA, Inc. and its affiliates within the United States, with and without outside counsel support.
  • Assist with drafting of deal documents including Confidentiality Agreements, Term Sheets, Purchase Agreements and ancillary agreements.
  • Work closely with the M&A team and cross-functional departments to understand business needs and participate in the development and refinement of existing M&A processes to align with company objectives.
  • Assist with due diligence, post-closing support and necessary government filings.
  • Support additional areas as needed at the direction of the Managing Legal Counsel.
  • Build and maintain strong relationships where appropriate with external legal counsel and internal customers.
Qualifications:
  • Juris Doctor (JD) degree from an accredited law school and active bar membership in good standing from any state.
  • 5+ years of hands-on experience in corporate law, including supporting M&A transactions.
  • Extensive experience in the essential job duties described above, developed either at a law firm or as part of an in-house legal department, is preferred.
  • Strategic thinker with a solution-oriented approach to legal challenges, adept at balancing risks and opportunities.
  • Ability to anticipate, recognize and define problems from both a legal and overall corporate perspective, collect data, establish facts, and draw logical and valid conclusions based on sound legal and business judgment.
  • Superior communication and interpersonal skills, capable of articulating complex legal concepts in clear terms to a variety of stakeholders.
  • Ability to operate in a fast-paced environment with a high degree of professionalism and ethical integrity.
  • Microsoft Office applications. Proficient in Microsoft Word, Excel and PowerPoint.
