Profile: A law firm in New York City is seeking a talented Corporate Funds and Private Equity Associate Attorney to join their team. The ideal candidate will have 4-6 years of experience in investment funds and management services, with substantive experience representing private equity sponsors and/or agents in various transactions. Duties and Responsibilities:

  • Advise clients on legal and regulatory issues related to investment funds, including private equity funds, hedge funds, and venture capital funds.
  • Represent private equity sponsors and agents in a wide range of transactions, including fund formation, capital raising, and investment structuring.
  • Draft and negotiate complex fund formation documents, including limited partnership agreements, subscription agreements, and offering memoranda.
  • Conduct thorough legal research and prepare detailed memoranda, reports, and correspondence.
  • Assist in the structuring and negotiation of investment transactions, including joint ventures, mergers and acquisitions, and other strategic investments.
  • Provide guidance on compliance with securities laws and regulations affecting investment funds and private equity transactions.
  • Collaborate with other attorneys and legal professionals to develop and implement effective legal strategies for clients.
  • Stay updated on developments in investment fund law, private equity trends, and regulatory changes to provide informed and relevant advice.

Requirements:

  • 4-6 years of experience in investment funds and investment management.
  • Substantive experience representing private equity sponsors and/or agents in various transactions.
  • Demonstrated ability to handle complex legal issues and transactions related to investment funds and private equity.
  • Strong analytical and problem-solving skills with a creative, solutions-oriented approach.
  • Excellent writing and communication skills.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Licensed and in good standing to practice law in the state of New York.
