- Provide legal advice and support on a wide range of debt financing transactions, including:
- Senior Secured Lending: Advise on the structuring, negotiation, and documentation of senior secured credit facilities.
- Mezzanine Financing: Handle complex mezzanine financing arrangements, including subordinated debt and equity components.
- Acquisition Financing: Counsel clients on financing strategies for mergers and acquisitions, including leveraged buyouts.
- Asset-Based Financing: Guide clients through the intricacies of asset-based lending, including collateral valuation and monitoring.
- Venture Debt Financing: Assist startup and growth-stage companies with venture debt agreements to support their capital needs.
- Intercreditor Arrangements: Negotiate and draft intercreditor agreements to manage relationships between different classes of creditors.
- Work with private equity sponsors from either the borrower or lender side, ensuring compliance with legal and regulatory requirements while achieving business objectives.
- Draft, review, and negotiate various financing documents, including loan agreements, security agreements, guarantees, and other related documentation.
- Conduct due diligence and advise clients on potential risks and legal implications of financing transactions.
- Collaborate with team members and other departments within the firm to provide comprehensive legal solutions to clients.
- Stay updated on legal developments and industry trends in the debt finance space to provide proactive advice to clients.
- Work from the office approximately 60% of the time, in accordance with the firm's published guidelines, to foster collaboration and team synergy.
QualificationsQualifications:
- Graduated with a JD or LLM from an ABA-accredited law school.
- Admitted or eligible for admission in New York.
- 4+ years of experience in debt finance and private equity.
- Demonstrated expertise in senior secured lending, mezzanine financing, acquisition financing, asset-based financing, venture debt financing, and intercreditor arrangements.
- Proven experience working with private equity sponsors from either the borrower or lender side.
- Excellent written and verbal communication skills, with the ability to convey complex legal concepts clearly and concisely.
- High level of professionalism in working and engaging with demanding clients, ensuring client satisfaction and fostering long-term relationships.
- Strong organizational skills and extreme attention to detail, ensuring accuracy and thoroughness in legal documentation and client interactions.
- Ability to balance and prioritize competing priorities and responsibilities, demonstrating effective time management skills.
- Strong collaboration and teamwork abilities, with a focus on contributing to a positive and productive team environment.
