This position will offer the successful candidate the opportunity to work on complex M&A transactions, corporate governance, and other corporate matters. The ideal candidate will have a strong background in M&A, corporate law, and stock and asset purchase agreements, with a deep understanding of the business and legal issues that may arise in these areas. This is a permanent, full-time position that offers a competitive salary and benefits package.Responsibilities:
- Lead and manage all aspects of M&A transactions, including drafting and negotiating definitive agreements, conducting due diligence, and coordinating closing.
- Work closely with the company's executive team to develop and implement corporate strategies.
- Provide legal advice on a wide range of corporate matters, including corporate governance, securities law compliance, and general corporate law.
- Draft, review, and negotiate a wide variety of corporate documents, including stock purchase agreements, asset purchase agreements, operating agreements, and other related documents.
- Collaborate with other departments to ensure that corporate strategies are legally sound and comply with all relevant laws and regulations.
- Manage relationships with external counsel and oversee their work on M&A transactions.
Qualifications:
- J.D. from an accredited law school and a license to practice law in the relevant jurisdiction.
- Minimum of 5 years of experience in corporate law, with a focus on M&A
- Proven track record of managing complex M&A transactions from start to finish.
- Strong knowledge of corporate law, securities law, and M&A law.
- Experience with stock and asset purchase agreements, operating agreements, lending and borrowing transactions, and other related corporate documents.
- Strong negotiation skills and the ability to find creative solutions to complex legal and business issues.
- Excellent written and verbal communication skills.
- Ability to work independently and as part of a team.
- Strong analytical skills and attention to detail.
