The ideal candidate will have a minimum of 4 years of experience in complex M&A transactions, shareholder activism, defense strategies, and corporate governance matters. Handle all aspects of complex M&A transactions, from initial negotiations to closing. Advise clients on shareholder activism and defense strategies. Provide counsel on corporate governance matters, ensuring compliance with relevant laws and regulations. Draft, review, and negotiate various transactional documents including purchase agreements, shareholder agreements, and merger-related documents. Conduct due diligence and prepare related reports for M&A transactions. Collaborate with cross-functional teams within the firm, including tax, litigation, and finance, to provide comprehensive legal advice. Stay updated on legal developments and trends impacting corporate governance and M&A transactions. Build and maintain client relationships, ensuring high-quality service delivery. Requirements: Minimum of 4 years of experience in corporate law, focusing on M&A transactions, shareholder activism, and corporate governance. Proven track record of managing complex corporate transactions from start to finish. Strong legal research, drafting, and negotiation skills. Excellent communication and interpersonal skills with the ability to work in a team-oriented environment. Detail-oriented with strong organizational skills and the ability to manage multiple priorities. Education: Juris Doctor (J.D.) from an accredited law school with strong academic credentials. Certifications: Active Bar admission in the state of New York. Skills: Extensive knowledge of corporate law, M&A transactions, and governance regulations. Strong analytical and problem-solving skills. Ability to manage large volumes of work and meet deadlines in a fast-paced environment.
