  • Handle all aspects of complex M&A transactions, from initial negotiations to closing.
  • Advise clients on shareholder activism and defense strategies.

  • Draft, review, and negotiate various transactional documents including purchase agreements, shareholder agreements, and merger-related documents.
  • Conduct due diligence and prepare related reports for M&A transactions.
  • Collaborate with cross-functional teams within the firm, including tax, litigation, and finance, to provide comprehensive legal advice.
  • Stay updated on legal developments and trends impacting corporate governance and M&A transactions.
  • Build and maintain client relationships, ensuring high-quality service delivery. Requirements:
  • Minimum of 4 years of experience in corporate law, focusing on M&A transactions, shareholder activism, and corporate governance.
  • Proven track record of managing complex corporate transactions from start to finish.
  • Strong legal research, drafting, and negotiation skills.
  • Excellent communication and interpersonal skills with the ability to work in a team-oriented environment.
  • Detail-oriented with strong organizational skills and the ability to manage multiple priorities. Education:
  • Juris Doctor (J.D.) from an accredited law school with strong academic credentials. Certifications:
  • Active Bar admission in the state of New York. Skills:
