Established in 2013, MoneyLion connects millions of people with the financial products and content they need, when and where they need it.About the RoleMoneyLion is seeking an experienced Corporate Paralegal to join our in-house legal team. The ideal candidate will join a highly collaborative team and support the legal department in corporate governance, compliance, and transactions for a publicly traded company. This role is essential for maintaining the company's compliance with state and federal regulations and supporting corporate operations. In addition to meticulous organizational skills and a high attention to detail, the ideal candidate will demonstrate an ability to proactively manage and track various projects both independently and as part of a team, take ownership and responsibility over assignments, and work on a variety of time-sensitive projects.This role is onsite 4 days a week out of our New York City office.Key Responsibilities
  • Assist with the preparation and filing of corporate documents, including articles of incorporation, resolutions, bylaws, and amendments.
  • Maintain corporate records and governance documents for the company and its subsidiaries, including board minutes, stock ledgers, and other corporate filings.
  • Conduct legal research related to corporate law, compliance, and business transactions.
  • Support corporate transactions, including mergers, acquisitions, and securities filings.
  • Draft and review various legal documents such as basic vendor contracts, non-disclosure agreements, and corporate policies.
  • Participate in and take the lead on special and recurring projects, including document review and overhaul of file and data storage systems.
  • Assist with compliance matters, including monitoring regulatory requirements and updating company policies as needed.
  • Manage public company reporting requirements, including filings with the Securities and Exchange Commission (SEC), such as annual reports (10-K), quarterly reports (10-Q), and proxy statements (DEF 14A).
About You
  • Bachelor's degree required (paralegal certification preferred).
  • Minimum of 5 years of corporate paralegal experience, preferably within a public company or law firm.
  • In-depth knowledge of corporate governance, securities law, and compliance requirements.
  • Experience with SEC filings and reporting requirements.
  • Strong organizational, analytical, and legal research skills.
  • Proficiency in Microsoft Office Suite.
  • Excellent written and verbal communication skills.
  • Ability to multitask and manage multiple deadlines in a fast-paced environment.
The annual base salary for the Corporate Paralegal role is expected to be between $100,000 to $120,000. Base salary is one component of MoneyLion's total compensation package, which includes, 401(k) match, multiple health insurance options, disability coverage, life insurance, and unlimited paid time off for salaried positions.
