Corporate Paralegal - New York & Florida Offices We are seeking Corporate Paralegals for our New York and South Florida offices. For the Florida position, candidates can be based in either our Miami Brickell location or the Downtown Fort Lauderdale office. The ideal candidate will have 3 to 5 years of corporate and transactional experience and will be responsible for handling all general corporate paralegal work for the Firm's corporate department. This role requires superior organizational skills, the ability to handle a high volume and fast-paced environment, strict attention to detail, and initiative to ensure all tasks are completed in a timely manner. We are looking for highly motivated individuals who thrive on challenges and enjoy working in the corporate arena. Salary range: $75k-$105k (NY), $70k-$80k (FL). What You'll Do: Reasonable accommodations may be made to enable individuals with disabilities to perform the essential functions.
  • Form, merge, and dissolve entities.
  • Prepare documents for filing with Departments of State and other jurisdictions; work with outside agents for filing out-of-state documentation; follow up on filings.
  • Assist with corporate transactions including mergers & acquisitions, capital market transactions, venture capital investments, financing, and private equity.
  • Prepare stock certificates.
  • Prepare and revise organizational charts.
  • Maintain closing checklists and documents for corporate transactions.
  • Retrieve public records.
  • Prepare and file UCC Financing statements.
  • Perform research of UCC and laws governing business organizations.
  • Perform UCC/lien searches.
  • Coordinate document retrieval from government agencies, review corporate public records, and draft analyses.
  • Maintain corporate minute books.
