Corporate Paralegal Opportunity in California

Adams & Martin Group has partnered with a distinguished law firm in California to find a skilled Corporate Paralegal. This position offers the opportunity to work on a diverse range of legal matters, including mergers and acquisitions, private equity, and venture capital financing.

Responsibilities:

  • Entity formations, dissolutions, and maintenance experience required.
  • Billable hour requirement: 1600 annually.
  • Engage in a broad range of transactional and governance matters, including mergers and acquisitions, private equity, and corporate finance.
  • Draft and review organizational documents, including articles of incorporation or dissolution, stock certificates, and merger agreements.
  • Draft contracts, such as non-compete agreements.
  • Prepare and file UCC financing statements.
  • Prepare summaries of corporate statutes.
  • Maintain client minute books and stock ledgers.
  • Prepare and file documents with government agencies, such as the SEC, IRS, and Secretaries of State of multiple jurisdictions.
  • Obtain EINs.

Requirements:

  • Paralegal Certificate is required.
  • 5 - 10+ years of corporate/transactional experience in a law firm our in-house legal department required
  • M&A experience preferred
  • Must be able to commute to Downtown Los Angeles at least 3 days a week.

Competitive salary ranging from $130,000 to $145,000 per year.
