Job Description:

We are currently seeking experienced attorneys with expertise in Dodd-Frank 1071 and/or FINRA 4210 margin requirements to assist multinational investment banking clients. Responsibilities:

  • Advise on ECOA (1071) rules and any changes to standard for institutional lending. Align internal policies and templates to 1071 requirements, such as lending data collection.
  • Advise and constructing credit margin requirements based on 4210 and negotiate CSAs on behalf of investment banks in coordination with counsel and deal teams. Should be experienced in drafting, negotiating, and reviewing MSFTAs and Prime Brokerage documentation, and be able to opine on the application or leverage of margins for strategy-based and portfolio-driven accounts.
  • Collaborate closely with credit team, in-house counsel, and institutional clients and provide market and institutional knowledge to internal stakeholders.
  • Additional experience or knowledge in repurchase or MRA agreements as well as other ancillary agreements could be leveraged.
Minimum Qualifications:
  • 7+ years of experience within a corporate or financial institution, preferrable with investment banks.
  • Experience drafting, reviewing, and negotiating credit agreements (CSA, MSFRA, ISDA).
  • Experience supporting trading desks in a fast-paced environment.
