This role will report to Robinhood's Deputy General Counsel of Corporate, Commercial and M&A. We are looking for a highly adaptable and collaborative team leader. Please connect with your recruiter for more information regarding our in-office philosophy and expectations.What you'll doLead and develop the attorneys and paralegals comprising our Corporate Legal function as we continue to establish and evolve our public company policies, practices and processesAdvise on and oversee preparation of 10-Ks, 10-Q, 8-Ks, proxy statements, registration statements, and other filingsSupport our Investor Relations, Communications, and External Reporting teams on quarterly earnings releases, Reg FD compliance and other public disclosuresAdvise on and administer certain corporate and executive policies and programs, such as the insider trading policy and employee trading and 10b5-1 plansPlan and oversee our annual stockholders' meeting, including preparation of agenda, scripts, and related materials, and coordination with stakeholdersLead global corporate administration efforts, including compliance with relevant international, federal, state and regulatory laws, oversee maintenance of foreign and domestic subsidiaries, support international expansion, and advise on entity structuring and related treasury and capitalization mattersSupport corporate governance matters, including preparation of materials for Board and Committee meetings, onboarding of new directors, the director compensation program, and related activitiesAdvise on and oversee all legal aspects of corporate transactional matters, including M&A, investments, credit facilities, equity and debt offerings and other corporate finance transactionsCounsel on a range of related corporate matters such as executive compensation, equity plans, stock administration and related policiesCollaborate with Regulatory and Product Legal team members to support global brokerage, crypto, credit and cash management products and operations as neededCollaborate cross-functionally with Finance, Investor Relations, Corporate Development, HR and Compensation, Communications, Treasury, Capital Markets, Tax, Stock Administration, ESG, senior leadership and other members of the Robinhood teamPartner with outside counsel with an eye toward driving our business goals and provide world-class counseling, while effectively managing time and costWhat you bring J.D. degree from an ABA-accredited law school (or foreign equivalent)Membership (in good standing) in at least one U.S. state bar12+ years of corporate law experience, with particular focus on securities law compliance, public company listing standards and practices, corporate governance and corporate transactionsExperience building and leading world-class legal teams, including supervising other lawyers and paralegalsSubstantial in-house experience at a publicly-traded company, with relevant prior experience from a top law firmComfortable working in a dynamic, rapidly-changing environmentExtraordinary interpersonal and communication skills; phenomenal ability to communicate information effectively (internally and externally) and to drive cross-functional alignment and actionExecution-oriented mindset with the humility, drive, and scrappiness to get things doneBonus PointsExperience with global technology, and/or financial services companiesExperience with newly-listed public companiesMembership in the California State BarWhat we offerMarket competitive and pay equity-focused compensation structure100% paid health insurance for employees with 90% coverage for dependentsAnnual lifestyle wallet for personal wellness, learning and development, and more!Lifetime maximum benefit for family forming and fertility benefitsDedicated mental health support for employees and eligible dependentsGenerous time away including company holidays, paid time off, sick time, parental leave, and more!Lively office environment with catered meals, fully stocked kitchens, and geo-specific commuter benefitsBase pay for the successful applicant will depend on a variety of job-related factors, which may include education, training, experience, location, business needs, or market demands. The expected salary range for this role is based on the location where the work will be performed and is aligned to one of 3 compensation zones.
