Job Description
The Senior Counsel will handle a wide range of capital markets transactional matters, including:
- Work closely with the Group Legal Head and other members of the legal team to advise on a wide range of capital markets transactions, from soup to nuts.
- Advise senior business partners on a wide range of equity capital markets transactions across various industries.
- Advise and manage equity offerings, IPOs, follow-ons, and private placements; and debt offerings (US and International).
- Provide guidance to internal business partners regarding compliance matters pertaining to US securities laws and regulations.
- Work closely with investment bankers, legal colleagues, product-specific groups, and compliance to proactively provide legal advice and serve as a true business partner.
- Manage external counsel to efficiently and cost-effectively execute a large volume of capital markets transactions.
- Assist in the management of Counsel and junior attorneys.
The Successful Applicant
- J.D. from an accredited law school
- Member in good standing of the New York State Bar
- 10-15 years of experience working at a top-tier law firm in combination with an in-house role at an investment bank supporting the capital markets desk (ECMs)
- Extensive experience within the capital markets space, primarily on the equity side, advising on transactions from start to finish, including IPOs, private placements, PIPEs, SPACs, follow-ons, etc.
- Experience working with internal clients and stakeholders, particularly investment bankers, product teams, compliance, and finance.
- Understanding of securities laws and regulations
- Team player
- Strong organizational skills
- Management experience is preferred
