- Manage the administration of equity-based compensation plans, including stock options, restricted stock units, and other long-term incentive plans.
- Oversee the issuance, vesting, and exercise of equity awards in compliance with plan terms and regulatory requirements.
- Ensure compliance with all relevant regulatory and statutory requirements, including SEC rules, country-specific tax laws, and reporting obligations.
- Manage the preparation and filing of proxy statements, including the Compensation Discussion and Analysis (CD&A) section.
- Coordinate with internal and external auditors to manage audits related to executive compensation and stock plan administration.
- Prepare materials and reports for the Compensation Committee and senior management.
- Monitor trends in executive compensation and equity administration to keep the company's programs up to date.
- Ensures stock administration records are accurate (ie. terminations, new accounts, account activations, grant acceptances, and W8/W9 certifications).
- Ensure compliance with SEC rules (10b5-1, Rule 144, Section 16, etc.) by managing insider activity, reviewing 10b5-1 plans, filing Form 4, and overseeing blackout periods and lock-up accounts.
Qualifications
- Bachelor's degree in Finance, Human Resources, Business Administration, or a related field. MBA or relevant certification (e.g., CCP, CEP) preferred.
- 5+ years of experience in executive compensation and stock plan administration, preferably in a multinational corporation.
- Experience in Oracle HCM, Workiva, and Shareworks by Morgan Stanley preferred.
- Strong knowledge of SEC regulations, proxy rules, and country-specific tax laws related to executive compensation.
- Ability to work collaboratively across functions and with senior leadership.
- Exceptionally strong analytical skills are required to effectively analyze data and create meaningful, understandable reports and metrics.
- Advanced Excel skills required (macros, vlookup, etc.).
- Strong project management skills and the ability to manage multiple priorities in a fast-paced environment.
- Excellent analytical, communication, and presentation skills.

- The current pay range for this role if performed in the city of New York is currently $150,000 to $200,000 per year, based on a regular, full-time schedule. The amount of pay offered will be determined by a number of factors, including but not limited to qualifications, market data, geographic location, and internal guidelines.
