Our projects include Mezo, a Bitcoin ecosystem, Keep (now Threshold) Network, a privacy protocol for public blockchains, Fold, for earning Bitcoin on your purchases in the physical and virtual worlds, Taho, a community owned and operated cryptocurrency wallet, and Embody, a fully encrypted period tracking app.Investors in the company and our projects include Andreessen Horowitz, Pantera, Multicoin, Polychain Capital, and Draper Associates, among others. We are a remote-first company, led by founders who have been operating in the cryptocurrency and web3 space since 2014.About the General CounselAs General Counsel, you will serve as a legal pillar in our organization and play a critical role in guiding our legal strategy as well as ensuring compliance with regulatory frameworks in the rapidly evolving cryptocurrency landscape. You will be responsible for overseeing all legal matters, including but not limited to managing relationships with external legal counsel, employment, regulatory strategy, privacy and providing strategic guidance to the executive team. Thesis is a fully-remote company, but we are looking for a candidate that can overlap well with EST and with mastery of the US legal system.What You ll Do
  • Own the legal function and outcomes internally
  • Join the leadership team and help drive our strategic decision making
  • Manage outside law firms, with a goal of minimizing legal spend while ensuring efficient outcomes
  • Identify opportunities for efficiencies manage legal spend across the Studio and it s portfolio companies
  • Provide guidance on legal structure considerations for a multi-entity organization
  • Provide guidance on crypto related legal matters, including launching new tokens and protocols
  • Provide guidance on general startup legal questions like HR matters, contracts, and fundraising, equity, and governance/Board matters
  • Provide guidance on legal playbook for entity creation, fundraising, etc.
  • Be a legal knowledge source for founders and project leads, and be the first point of contact internally for project leads who have legal-related questions about their projects
  • Create comprehensive documentation or playbooks on how to approach legal/entity issues for projects
  • Draft, review, and negotiate a wide range of contracts including vendor agreements, partnership agreements, and employment contracts.
  • Advise the executive team and board of directors on corporate governance matters, including board procedures, shareholder relations, and regulatory compliance.
  • Manage and protect our intellectual property portfolio, including trademarks, patents, and copyrights.
  • Ensure compliance with data privacy regulations and implement robust security measures to protect customer and company data.
Requirements
  • Juris Doctor (JD) degree from an accredited law school and admission to the bar in good standing.
  • Data security/information security experience or knowledge.
  • Familiarity with AML/KYC rules and regulations.
  • Previous experience working in the cryptocurrency or fintech industry is highly preferred.
  • Ideally, previous experience serving as commercial counsel or products counsel
  • Strong understanding of blockchain technology, cryptocurrencies, and decentralized finance.
  • Excellent communication skills with the ability to communicate complex legal concepts clearly and effectively to non-legal stakeholders.
  • Highly effective in asynchronous communication.
  • Proven ability to manage multiple priorities and work effectively under pressure in a fast-paced startup environment.
  • Demonstrated leadership skills with the ability to build and manage a high-performing legal team.
  • Strong analytical and problem-solving skills, with meticulous attention to detail.
