We'll be happy to tell you more during the interview process!This incumbent is a key member of the corporation's executive team, responsible for overseeing all assigned legal matters within the organization. Reporting to the CEO, their primary role is to provide legal guidance and support to the company's management and ensure that the company operates within the boundaries of the law. The ideal candidate will have previous experience with software licensing and software managed services agreements. Additionally, the candidate will need to have prior experience and/or a comfort level with being the sole in-house counsel and be prepared to assist with a variety of legal tasks both in the US and abroad.Core Responsibilities:
- Contracts and Agreements: Draft, review, and negotiate a wide range of contracts, including but not limited to: Vendor contracts, partnership agreements, licensing agreements, service agreements, and ensure that contracts comply with legal requirements and mitigate legal risks for the company.
- Corporate Governance: Advise the executive officers and other stakeholders on corporate governance matters and ensure compliance with corporate governance regulations and best practices.
- Litigation Management: Oversee all legal disputes and litigation involving the company, work with external counsel to develop litigation strategy, manage legal proceedings, mitigate legal risks, and minimize potential liabilities arising from litigation.
- Regulatory Compliance: Stay informed about changes in laws and regulations that may affect the company, develop and implement compliance programs to ensure adherence to relevant laws and regulations, and provide guidance on regulatory matters to relevant departments within the organization.
- Intellectual Property Protection: Manage the company's intellectual property portfolio, including trademarks, patents, and copyrights, and ensure proper protection of intellectual property rights and enforcement against infringement.
- Corporate Transactions: Provide legal support for mergers, acquisitions, divestitures, joint venture agreements, and other corporate transactions, conduct due diligence reviews and assess legal risks associated with transactions, and draft and negotiate transaction documents and agreements.
- Risk Management: Identify legal risks and develop strategies to mitigate them and implement risk management policies and procedures to protect the company's interests.
Qualifications
- Juris Doctor (J.D.) degree from an accredited law school and admission to the bar in the jurisdiction where the company operates required.
- Minimum of 10 years of experience practicing law, with significant experience in corporate law, contracts, and commercial transactions is required.
- Minimum of 5 years of experience handling software related services and/or manage services contracts required.
- Experience as sole in-house counsel and/or a smaller 2-3 person law firm is desired.
- International experience is desired (Canada, Mexico, and/or EMEA).
- Ability to operate autonomously with strong analytical, problem-solving, and communication skills.
- Ability to work effectively in a fast-paced, fluid environment and manage multiple priorities simultaneously.
- A high level of integrity and ethical standards.
