Job Description We are looking for an analytical General Counsel to optimize and add value to our organizational efficiency regarding legal matters and be a key advisor of our business. The General Counsel will oversee the compliance and risk management activities of the firm by ensuring the company's contracts follow policies and legal guidelines. A successful candidate will have comprehensive knowledge and understanding of applicable laws and regulations and the ability to make prudent legal decisions. The goal of this role is to create an effective guardian of the organization by facilitating business strategies while limiting risk exposure. The candidate will ensure legal compliance regarding mergers and acquisitions (M&A) activity, oversee compliance with corporate governance, and establish the prudence of defending lawsuits and prosecuting. Responsibilities:
- Providing strategic legal guidance and advising executive staff on various matters such as legal rights, and all current and new business process laws
- Drafting, reviewing, negotiating, and counselling on a variety of transactions, including software and service agreements
- Maintaining knowledge of organizations operations and legal documents to identify proactive solutions that will eliminate or mitigate risk
- Conducting legal research and reviewing the company's litigation strategy pertaining to legal actions
Requirements:
- A JD and 6+ years of relevant experience in law firms and in-house legal departments
- Member of the New York Bar
- Ability to review NDA's and Engagement Letters
- Strong general counseling experience in corporate business, litigations, and labor laws
- High degree of professional ethics and integrity
- Excellent analytical skills as well as verbal and written communication skills
- Proficient legal experience in mergers and acquisitions
- Experience with corporate governance issues and corporate secretarial duties
- Drive for efficiency in balancing risk management and supporting fast paced growth and innovation
