If you receive correspondence from an entity other than @Olympus.com, it is likely not legitimate.Job DescriptionThe Global Head of Legal, Mergers & Acquisitions will be directly responsible for managing the legal work related to, and generally supporting, all mergers and acquisitions, divestitures and strategic investments of Olympus Corporation and its subsidiaries worldwide, as well as for building out the function and its operating methodology. This position will be responsible for collaborating with key internal stakeholders and senior executives to strategize, supervise, plan, negotiate, execute and implement these activities in a global environment. The incumbent will select and manage outside M&A and investment counsel and other resources as needed to successfully effectuate key transactions. Oversight of this activity covers multiple jurisdictions across the Americas, as well as other business centers located in Europe, the Middle East and Africa, China, Asia Pacific and Japan. Job DutiesAdvises and counsels business unit leaders, business development personnel, and internal subject matter experts on all aspects of M&A including target selection, pre-LOI strategy, due diligence, valuation, structuring, transaction documents, integration planning and other related issues arising out of M&A and venture capital activity in order to assist the company in achieving its inorganic growth goals and other core strategic objectives. Develops and modifies global M&A governance documents including policies, procedures, and work instructions to manage risk exposure and enhance the effectiveness, efficiency, and consistency of strategic transactions.Engages and closely supervises outside legal counsel to ensure the highest quality of work is performed in strict accordance with established budgets. Leads the negotiation of stock purchase, asset purchase, merger agreements, joint venture, investment agreements and other fundamental documents to consummate such transactions. Prepares ancillary transaction documents, including engagement letters, confidentiality agreements, term sheets, letters of intent, disclosure schedules, transition services agreements, assignment and assumption agreements, voting agreements, indemnification agreements and other related documents in connection with such transactions. Collaborates with global and regional legal, tax, business development, sales, marketing, finance, and intellectual property departments to structure M&A deals and manages the legal due diligence process related to the same. Provides counsel on customary post-closing legal matters, including working capital disputes and adjustments, milestone events and escrow disbursements, and indemnification claims, and ensures a smooth transition of projects to designated integration teams.Advises on key risks identified in respect of purchase documentation and/or post-completion and mitigation planning. Provides strategic support to internal lawyers working on such transactions through the establishment of an M&A Legal Center of Excellence. Prepares and delivers presentations to executive management and the board of directors. Provides training and education to the organization's stakeholders on topics associated with M&A. Assists with drafting and negotiating stock purchase, asset purchase, merger, and investment (equity and debt) agreements and other fundamental documents to consummate such key transactions.Collaborates with global and regional legal teams to help ensure a smooth rollout and adoption of legal processes and procedures for acquisitions and investments and integration of acquired companies.Job QualificationsRequired:Juris Doctorate or an equivalent degree from an accredited law school or institution. Must have an active license in good standing to practice law in the United States. Minimum 10 years of legal experience, including at least 8 years handling M&A matters, preferably through a combination of law firm and corporate positions. Experience preparing, reviewing, negotiating, and advising on all forms of M&A, venture capital, and equity and debt deal structures and agreements. Preferred:Strong cultural sensitivity and experience working in a global environment or with global teams. Life science, healthcare or medical device experience is strongly preferred. A comprehensive and broad understanding of legal principles and regulations underlying M&A transactions including anti-trust, fair competition, compliance, corporate governance, securities and disclosure rules. Experience with cross-border transactions and international agreements. Ability to execute in a fast-paced, matrixed organization on a global scale. Strong personal and organizational accountability. Superior drafting and negotiation skills. Ability to build internal networks and strong relationships with key stakeholders.
