POSITION SUMMARY:The Head of Executive Compensation and Equity Plans will have overall responsibility for managing the Group's share plans, will play a lead role in supporting the Legal & Governance Team in connection with required remuneration disclosures including the Director Remuneration Report (DRR) in the UK and the CD&A in the US and will assist the Compensation Committee on executive compensation matters. This role will also have growing responsibilities in the strategy and evolution of the Company's compensation and benefits design.
ESSENTIAL FUNCTIONS: The responsibilities of this role include, but are not limited to, the following:
- Overall responsibility for the strategy, design and executions of all the Group's share plans including the management across US and UK
- Lead the administration and coordination of both high profile and routine activities such as working with third parties across the US and UK on the design of share plans, including but not limited to the benchmarking, drafting and reviewing of share plans rules, managing of the approval of plan rules through resolutions at the Annual General Meeting, global share plan awards, vesting, exercising and lapsing of share-based incentives.
- Working with Group Finance to reconcile the outstanding award registers and support regarding the share-based payment accounting charges.
- Working with Group Finance regarding the funding of the Group's share plans through new issue, market purchase and/or net settlement and provide reports for the Remuneration Committee on dilution and headroom as required.
- Manage and develop relationships with specialist external providers including share plan administrators (Global Shares), Employee Benefit Trust (Apex), share plan advisors (Deloitte), remuneration advisors (Mercer and Deloitte) and auditors (PWC).
- Maintain and update participant information resources in relation to share based incentives. Be a point of contact for internal stakeholders with regards to share plan matters.
- Work alongside Group functions including Finance, Tax and Treasury to monitor compliance with processes, reporting requirements, relevant legislative and regulatory requirements in connection with the share plans.
- With support from advisors, ensure that all relevant payroll taxes are managed and reported effectively, to include relevant tax returns and reporting.
- Support the Global Compensation & Benefits Director with all aspects of share-based global executive remuneration including constructing compensation packages to support senior executive hiring including buy-outs (e.g. valuation of equity arrangements).
- Prepare draft papers and recommendations for the Compensation Committee in relation to share incentive matters. Maintain induction materials for new members of the Compensation Committee.
- Work with the Global Compensation & Benefits Director on the review of external advisers to the Compensation Committee as required.
- Support in the preparatory work ahead of the Annual General Meeting (lines to take on remuneration, Q&As).
- Provide all necessary data to support Stock Exchange Announcements and required SEC disclosures relating to Board and executive level remuneration and PDMR/executive officer share transactions.
- Support the Legal and Governance teams in administering the Group Dealing Code and insider reporting under UK and US reporting requirements (e.g. PDMR, Section 16).
- Support the Company Secretary with statutory reporting by drafting the Directors' Remuneration Report within the UK Annual Report & Accounts, including compiling all information (for example producing emoluments statements and obtaining approvals), and working with the external auditors.
- Support the Company Secretary with the drafting of the triennial Directors' Remuneration Policy and support with the Chair of the Compensation Committee with shareholder engagement and consultation.
- Conduct the compliance review of the Directors' Remuneration Report in respect of compliance with the (i) Companies Act 2006; (ii) Large & Medium Sized Companies & Groups Regulations 2008 and (iii) the UK Disclosure Guidance and Transparency Rules.
- Support the Global Compensation & Benefits Director with any reward, remuneration or benefits enquiry required including supporting on confidential remuneration advice for our Executive Committee and senior leaders.
- Support the Legal and Governance teams in connection with required disclosures in the annual report on Form 10-K, 8-K and SEC proxy statement, including CD&A tables in connection with both routine reporting and extraordinary shareholder proposals.
- Support the calculations of pay versus performance related to equity, including compensation actually paid and appropriate SEC Measurements.
- Ensure compliance with SEC regulations regarding executive compensation disclosure.
- Overall support to Global C&B Director on all Executive Compensation matters.
MINIMUM QUALIFICATIONS: - Preferably experienced in working in a large, complex multi-national organisation or a major remuneration consulting firm with 10+ years of experience.
- Knowledge of SEC filing requirements and experience preparing proxy statements and other SEC filings
- Experience in reward management from executive to operational levels using leading methodologies and processes. Knowledge of best practice reward practices and policies.
- Familiarity with UK public filing process and corporate governance requirements.
- Experience with dual-listed companies, specifically with relevant global share plans experience in a US/UK listed PLC, and good knowledge of statute, corporate governance, and emerging trends in respect of share plans.
- Experience completing the CD&A portion of the Proxy for a US public company.
- Relevant professional certifications (CCP or Global Remuneration Professional) desirable.
