Overview

Liqueous LP is a multi-strategy hedge fund that leverages advanced technology to serve micro- and small-cap public markets. Our fully automated underwriting system allows us to provide unique products—including equity lines of credit, block purchases, and equity repurchase agreements. We are expanding rapidly and seek seasoned professionals ready to join our fast-paced team, contributing immediately and helping stabilize and systemize our growing operations.

Core Responsibilities

1. Contract Drafting & Review

Draft, review, and negotiate legal documents and contracts.

Ensure that all legal agreements satisfy both regulatory requirements and company objectives.

2. Trade Settlement & Securities Transfers

Oversee trade settlements for accuracy and regulatory compliance.

Handle securities transfers and related documentation.

Coordinate with custodians, brokers, and financial institutions to ensure seamless transactions.

3. Innovative Structure Development

Work with legal and business teams to design new financial structures.

Participate in creative brainstorming to produce novel financial products aligned with market needs.

4. Regulatory Compliance

Assist in preparing and managing federal and state regulatory filings, including those with the SEC.

Analyze fund offering documents and internal data to support timely filings.

5. Client Interaction

Communicate with clients regarding contract negotiations and regulatory requirements.

Provide guidance on how to use our financial products effectively.

6. Internal Collaboration

Collaborate with internal counsel and cross-functional teams to gather data for regulatory filings.

Maintain and update internal databases, ensuring proper documentation and version control.

Preferred Qualifications

Experience:

4–7 years in a demanding law firm, hedge fund, or in-house legal department.

Background focused on securities law, structured finance, and complex transactions.

Familiarity with hedge fund operations, SEC filings, and offering documents.

Skills:

  • Strong written communication skills for high-level analysis.
  • Adept at turning strategic goals into actionable tasks.
  • Exceptional time management and organizational skills.
  • Ability to balance multiple projects under tight deadlines and thrive in a transactional environment.
  • Proficiency in Microsoft Office, particularly Excel.
  • Willingness to travel and work extended hours, including weekends, as needed.
  • Education:

    No college degree is required if the experience is comparable.

    Salary Range: $200,000 – $250,000 per year
