Our client, an established global private markets investment manager, has an immediate need for a lawyer with strong 40 Act/securities experience to join its thriving Legal and Compliance team as a Legal Counsel in Chicago. This company's clients include leading public and corporate pension plans, foundations, endowments, insurance companies, registered investment advisors, and high net worth individuals worldwide. The attorney in this position will work under the guidance of the firm's Chief Legal Officer and will be responsible for the coordination, structuring, formation and negotiation of private equity/credit investment registered funds, including business development companies.

Responsibilities:· Assist and coordinate with legal oversight of the firm's registered investment companies· Oversee closing documentation and ensure that it conforms with company guidelines· Work closely with the business units to identify and address legal and regulatory issues· Update policies and procedures as needed and prepare required documentation· Work with registered fund boards in the ongoing management of those funds· Maintain internal records, checklists, spreadsheets, and other tracking devices· Oversee filing and monitoring of ongoing filing obligations with respect to such marketing efforts and management of investment vehicles· Interact with investment relations professionals, lawyers, bankers, accountants, and investors· Work with the company's other attorneys and appropriate business units to interpret legal and regulatory changes and advise on such changes
Required Qualifications:· 7+ years of experience as a lawyer within a law firm and/or in-house legal department with practice focused on the Investment Company Act of 1940 and related areas of federal securities laws· Experience handling private investment fund formation and structuring· Experience advising general partners/management companies on matters related to investment companies and day-to-day operations of investment companies· Knowledge of and experience using MS Office suite and Adobe Acrobat
