About the Role

The Legal Counsel will serve as a hands-on contracts attorney in a fast-paced and ever-changing environment. As a TRSS Legal Counsel, day-to-day duties will primarily include the review, drafting, and negotiation of client contracts, teaming agreements, subcontracts, Non-Disclosure Agreements, 3rd party data licenses, supplier agreements, and partner agreements. The Legal Counsel is also responsible for providing timely advice to business development, technology, product development, and finance teams regarding contractual terms at the proposal, negotiation, and contract performance stages. The position will provide legal support to the proposal team on responses to government and corporate issued solicitations.

  • Provide legal review of sales agreements including client contracts, teaming agreements, subcontracts, Non-Disclosure Agreements
  • Provide legal review of supplier/partner agreements including 3rd party data and software licenses, reseller agreements, and partner/consultant agreements
  • Negotiate directly with external government and commercial clients, suppliers, partners, and consultants to achieve commercially beneficial terms
  • Draft contractual language to ensure appropriate risk allocation and advantageous terms for the business
  • Review terms and conditions for Requests for Proposals, Invitations to Bid, as well as other informal bidding opportunities for government and commercial customers
  • Provide legal guidance in the resolution of contract issues and disputes
  • Provide general legal/contracting support to the business development team
  • Evaluate negotiation practices and make recommendations to continually improve the process
  • Recommend updates/revisions to contract templates in response to changing business needs and customer requirements

About You:

You're a good fit for the role of Legal Counsel if you have:

Juris Doctorate (J.D.) required from an accredited law school and current attorney licensure
  • 2-5 years in customer contracting and/or procurement contracting in a corporate setting, with strong legal experience negotiating and drafting customer and/or vendor agreements including content, software, and technology
  • Experience structuring, drafting, analyzing, and negotiating a wide range of buy-side and sell-side contracts, including sales agreements, data licensing agreements, teaming agreements, subcontracts, software licensing agreements, master service agreements, NDAs, and reseller agreements
  • Passion for contract review, drafting, and negotiation
  • Ability to adapt to change, prioritize multiple projects, and work within tight deadlines
  • Proficiency in Microsoft Office, especially Word redlining functions and versioning
  • Demonstrated business judgment and acumen
  • High level of integrity and professionalism
  • Highly developed organizational skills and strong attention to detail
  • Excellent oral and written communication skills
  • Works well as a team member and able to build trust and rapport with both internal and external stakeholders
  • Ability to successfully balance the interests of the client and/or supplier while maintaining a good legal and fiscal position for the company
  • Ability to work autonomously and be a self-starter
  • Ability to obtain and maintain a U.S. Government Security Clearance
Knowledge and Preferred Skills
  • 1-3 years in federal government contracting and strong knowledge of FAR/DFAR required
  • Undergraduate or Associate's degree in Business or Economics
  • Contract administration and compliance experience
  • Experience in data licensing/data rights
