Job Description:

Our client is a leading independent provider of end-to-end electrical services, operations and maintenance services, and energy sustainability solutions to the industrial, utility, and renewable asset markets in North America. Their commitment to excellence and innovation has positioned them as a trusted partner in the industry. We are currently seeking a highly skilled and experienced Legal Counsel to join this dynamic team.

The Legal Counsel will play a crucial role in providing legal support and guidance on a wide range of matters, including O&M, Engineering, Procurement, and Construction (EPC) contracts, and various commercial agreements. The ideal candidate will have a strong background in these areas and a minimum of 4 years of legal practice. Experience in construction is highly desirable.

The Legal Counsel will:

  • Draft, review, and negotiate a wide range of commercial agreements with experience leading O&M and EPC contracts
  • Provide legal advice and support on various business operations and projects.
  • Ensure compliance with relevant laws and regulations.
  • Broad functional expertise in supporting commercial activities, from inception to implementation, in coordination with key company stakeholders and cross-functional teams, particularly procurement.
  • Reliable ability to identify and resolve legal and business issues, appropriately identifying risks and proactively proposing alternative risk-mitigating strategies in accomplishing project and company objectives.
  • Experience working cross-functionally with internal teams as well as outside counsel to structure commercial transactions.
  • High capacity to successfully balance competing and fluid priorities and deadlines and exercise solid business judgment consistently.
  • Strong written and verbal communication skills, including solid drafting and consistent attention to detail.
  • Exceptional organizational, planning, analytical, negotiation, and problem-solving skills.
  • Desire for coaching and/or mentoring relationships with both senior and junior team members.
  • Strong interpersonal skills, teamwork orientation, and capability to effectively share subject matter expertise.
  • Ethical mindset and willingness to raise concerns to internal team members when appropriate.

The Legal Counsel must have:

  • Juris Doctor (JD) degree from an accredited law school.
  • Member in good standing of at least one U.S. state bar
  • Minimum of 4 years of legal experience, preferably in the energy sector
  • Strong analytical and problem-solving skills.
  • Excellent communication and negotiation abilities.
  • Ability to work independently and remotely.
  • Ability to travel to Dallas, Tx as needed.
