Job Summary:

The Legal Operations Assistant is responsible for supporting various types of legal, compliance and intellectual property matters pertaining to Terumo Americas Holding, Inc. and its domestic and foreign subsidiaries and managed businesses (collectively, TAH), including but not limited to, corporate governance, commercial operations, contracting, employment, business development, mergers and acquisitions, bankruptcy, litigation management, including but not limited to, product liability, non-product liability, and intellectual property as well as operational support within the Department. The role will also include data collection, compiling and organizing materials, preparation of reports, spreadsheets and presentations, agreement preparation using the TAH contract management system and new project development and management to continue department innovation and efficiency.

Job Details:

Support legal operations, including corporate governance and managed businesses requirements, required annual filings to do business, preparation of board minutes, support changes to members and officers through resolution preparation, support requests for entity information from outside sources, including auditors, and maintain companion databases in same operational areas.

Adopt new technologies to increase efficiencies and develop projects to advance innovation, efficiency and streamline departmental procedures, including written procedures

Prepare various quarterly reports, data analysis and presentations for legal and compliance committees and/or compliance meetings as needed.

Support intellectual property and patent processes, including annuities database, search platform, billing.

Provide support in preparing and analyzing budget projections.

Draft correspondence for various types of matters, including bankruptcy, cease and desist, demand letters.

Provide operational support to department members, including report generation, accounts payable processing, as required.

Perform other job-related duties as assigned.

Position Requirements:

Knowledge, Skills and Abilities (KSAs)

Highly proficient with superior skillset in MS Office Suite - Word, Excel, PowerPoint, Access, Adobe, Outlook, and One Drive.

Excellent verbal and written communication skills, including written communications, presentations, and rapport building.

Self-starter, skilled analytical thought processing, detail oriented, including identifying long-range obstacles, possibilities/probabilities that could affect the outcome.

Knowledge of legal research database programs.

Highly skilled at working independently to lead critical projects and matters to conclusion, while coordinating with attorneys, administrative staff, internal colleagues and associates.

Strong project management, prioritization, and organizational skills.

Efficient handling of multiple projects in a fast-paced, service oriented, and dynamic environment.

Versatile, flexible and a willingness to work within constantly changing priorities

Strong interpersonal skills for direct interaction with executives, company colleagues, and outside counsel.

Proven ability to maintain strict confidentiality with sensitive information.

Acts ethically, is transparent and honest in communications.

Strong computer and research skills required.

Background Experiences

Bachelors Degree with a focus on business required and minimum seven (7) years experience with increased responsibility in a relevant in house counsel, corporate or law firm setting required or equivalent combination of relevant experience, education and training.

Experience with corporate governance, matter management systems, contract management systems required.

Experience managing and dealing effectively with a wide range of legal and compliance matters is preferred.

Experience in legal operations is strongly preferred.

Experience in medical device manufacturing preferred.

A paralegal certificate is preferred.
