The Legal Specialist, Corporate will report to the Team Lead, Corporate Entities, and will work with colleagues in a large law department in a publicly traded, Fortune 100 international energy company. This role involves utilizing specialized legal knowledge of laws and regulations to ensure Phillips 66 and its subsidiaries and affiliates meet their legal obligations to conduct business.
Responsibilities May Include:
Manage and control the lifecycle for Phillips 66 Company and its subsidiaries and affiliates, including tasks such as formation, mergers, name changes, and dissolutions.
Maintain and control all forms of corporate records, including minute books and utilization of the corporate database system.
Perform duties as required under statutes to maintain corporate structures including annual meetings and registered offices.
Independently prepare and distribute board and committee documentation, including consents, meeting minutes, resolutions, and powers of attorney.
Attend subsidiary board meetings and take minutes.
Research, draft, and issue secretary's certificates.
Interpret bylaws, partnership, and LLC agreement provisions.
Prepare board book materials utilizing an electronic board portal application.
Provide transactional support for acquisitions, dispositions, financings, and equity and debt offerings.
Required Qualifications:
Legally authorized to work in the job posting country
Bachelor's degree
4 or more years of experience in corporate and subsidiary governance matters
Experience with corporate subsidiary systems and databases, such as EnGlobe, hCue, and Blueprint
Technical knowledge and proficiency in Microsoft Office products
Preferred Qualifications:
Paralegal certification is a plus
Demonstrate excellent judgment, discretion, respect, and integrity
Highly developed interpersonal, written, and verbal communication skills
Understanding and adaptability to digital technology and evolving ways of working
Ability to work effectively in a team environment, well under pressure, meet deadlines, and function independently without extensive supervision
Ability to manage and prioritize assignments, that may be broad in scope and complexity, and which involve collaborative work with employees in different departments and at a variety of position levels from peer groups to upper-level management
Strong focus on attention to detail
Ability to proactively problem-solve and achieve deliverables
Ability to learn quickly and apply company policies, procedures, operations, and industry best practices
Understanding and appreciation for working with highly sensitive and confidential information is a must
