Job Description:
Job Responsibilities:
- Conduct due diligence in buy-side and sell-side transactions
- Review target company financial information and other data to identify:
- Historical and projected financial, operating, and commercial trends
- Quality of earnings adjustments
- Working capital and debt considerations
- Potential liabilities and other business risks which could impact valuation
- Identify pre- and post-acquisition transaction issues in the context of financial due diligence
- Identify purchase price reductions, deal restructuring, or other issues affecting a transaction
- Assist in drafting Due Diligence reports, including quality of earnings, working capital and other transaction related analysis
- Supervise, develop and evaluate staff where appropriate; be willing to take on projects without assistance when needed
- Coordinate work with other service teams (Tax, IT) on the due diligence projects
- Communicate effectively with internal managers/partners and clients, target company management, investment bankers and other client advisors on a transaction
- Contribute to staff training programs, including the continued development of due diligence practice aids and to adherence to practice compliance requirements
Job Qualifications:
- Bachelor's Degree in Accounting, Finance or other relevant discipline
- 3+ years of relevant work experience in accounting or finance, with a background in auditing preferred but not required
- CPA or CFA designation is a plus
- Experience with Private Equity firms and their portfolio companies is preferred but not required
- Fundamental understanding of the cash, modified and accrual basis (GAAP) methods of accounting, including working knowledge of cash to accrual accounting.
- Excellent Microsoft office skills (Excel, Word, PPT), experience with UpSlide and ProSystem Engagement is preferred, but not required
