ABOUT THE ROLE:

We are currently seeking a Paralegal based in Houston out of our Houston, TX (Galleria) office. This position includes a hybrid work schedule and flexibility to work outside of standard business hours as needed. This role will support the company's corporate counsel, as well as other departmental stakeholders, in managing legal affairs, governance, and operations within the company. Individual is expected to be highly organized, and detail oriented with the ability to operate at a high level of autonomy. This role will play a crucial role in ensuing legal efficiency and compliance across various corporate functions.

ESSENTIAL JOB DUTIES AND RESPONSIBILITIES:

  • Assist and support corporate counsel in drafting, reviewing, and editing legal documents, including contracts, agreements, and corporate policies.
  • Conduct legal research and analysis on various regulatory and compliance issues affecting the company.
  • Maintain and organize corporate records, minute books, and other legal documents.
  • Assist with securities filings, statements, periodic reports, and other possible financing transactions.
  • Assist in preparing for corporate meetings, including drafting agendas and preparing meeting materials.
  • Coordinate and assist in preparing materials for board and shareholder meetings.
  • Monitor service of process via KLX's Registered Agent or via mail or certified mail.
  • Work with HSE to ensure insurance carrier is properly notified of incidents that may result in potential litigation, demand letters received relating to potential litigation, and actual litigation filed against the Company or one of its current or former employees.
  • Manage the subpoena process including, but not limited to, gathering and reviewing relevant and responsive documentation and, in many cases, responding on behalf of the Company.
  • Manage administrative functions in litigation process (EX. collaborating with outside counsel to ensure they have all relevant information and documentation; scheduling interviews, etc. for current or former employees; communicating with insurance adjusters as needed).
  • Maintain and update the litigation spreadsheet, all garnishments served, and all EEOC charges received by the Company.
  • Manage the Litigation Hold process.
  • Track and maintain Employment Agreement schedules and coordinate with CEO, GC and VPHR to discuss Employment Agreement renewals prior to notice period.
  • Maintain files for Independent Contractor Agreements and/or MSAs.
  • May handle administrative tasks such as scheduling meetings, managing calendars, and responding to inquiries from internal and external parties.
  • Stay updated on changes in laws and regulations relevant to the Company's operations.
  • Perform other duties as assigned.

MINIMUM QUALIFICATIONS:

  • Education: High School Diploma/Equivalent
  • 4-6 years of related work experience
  • Proven experience as a paralegal or legal assistant in a corporate environment
  • Understanding of corporate law, contracts, and legal terminology
  • Proficiency in legal research tools and software (Westlaw, LexisNexis, etc.)
  • Excellent organizational skills and attention to detail
  • Ability to manage multiple tasks and prioritize workload effectively with little oversight
  • Strong communication skills, both verbal and written
  • Ability to maintain confidentiality and handle sensitive information with discretion
  • Proficiency in Microsoft Office Suite (Word, Excel, Outlook, PowerPoint)

PREFERRED QUALIFICATIONS:

  • Education: Bachelor's Degree
  • Degree Field(s): Paralegal Studies, Legal Studies, or a related field
  • 8-10 years of related experience
  • Certification as a paralegal (CP, RP, or similar)
  • Experience with document management systems and electronic discovery tools
  • Knowledge of intellectual property law, employment law, and securities law
