Job Description:

LHH Recruitment Solutions is seeking a Paralegal for an in-house legal department, reporting directly to/working with the General Counsel. This position is responsible for providing comprehensive legal and administrative support to ensure the efficient operation of the legal team. The ideal candidate will possess a strong background in legal procedures, exceptional organizational skills, commercial contracts, and the ability to manage multiple tasks simultaneously.

This opportunity is part-time (9AM-1PM) to start, then will become full time after about 6 months. The Paralegal will be hired on a temp-to-hire basis and must have remote working experience.

RESPONSIBILITIES

File corporate governance documents, keeping all corporate documents organized and filed electronically, and maintain the files on executed contracts, form agreements, and legal documents in an organized document management system

Coordinate the internal NDA review, including managing new NDAs, initial review of NDA drafts, coordinate and communicate with business partners in negotiating NDA, and coordinate and track executed NDAs with counterparties

Draft letters and initial forms of LOIs, MOUs and Strategic Collaboration Agreements

Assist with Corporate Governance responsibilities such as drafting agendas, minutes and prereads for Board Meetings, keeping all corporate filings in good standing in each jurisdiction

Work with finance and HR to maintain current cap table and maintain all outstanding

funding notices, promissory notes, and financing transactions

Track and assist the SVP, General Counsel, and business partners in negotiating and

executing service agreements

Oversee document management and contract execution process, including coordinating

execution of agreements via DocuSign and saving files on Dropbox (or similar contract

management software)

Administer and organize corporate policies (including the Signing Authority Policy, Contract

Review Policy, and NDA Policy)

Manage trademark portfolio including registration, protection, and enforcement of trademarks to support brand and business objectives

Track outside counsel spend

Provide administrative support for the SVP, General Counsel, including support in

scheduling meetings, arranging travel and calendar management

Other duties as assigned

REQUIREMENTS

Bachelors degree, required

2-5 years prior experience as a Paralegal in a law firm, preferred

Understanding of corporate law, corporate transactions, energy regulation

Ability to source, identify, and build relationships with key decision makers

Experience working in the energy industry is a plus

Experience working in a start-up environment, is preferred

Able to create processes and build a process from scratch

Remote in NY, NJ, or PA (NJ preferred)

Position requires limited travel

Self-starter; ability to work with limited direction

Hourly rate: $40.00-$45.00
