Job Description:

The Paralegal/ Senior Paralegal plays a key role in supporting the Firm's global Executive Compensation/ERISA practice by working directly with attorneys and clients in all aspects of the group's client matters. Duties & Responsibilities:

  • Prepare and maintain capitalization tables and other spreadsheets including through excel to track outstanding equity issuances under various management compensation plans and programs (including stock option, profits interest, and other cash and equity-based arrangements).
  • Assist attorneys with day-to-day corporate governance and securities law compliance matters, including preparation and revision of public company securities filings relating to equity awards and investments (including Form 3 and Form 4 filings under Section 16 and Regulation D filings).
  • Conduct research on EDGAR and Lexis Securities Mosaic for public company equity and employment-related documents.
  • Proofread due diligence memorandum and other legal documents.
  • Assist with formatting legal documents and tables in word and PDF.
  • Maintain records, track outstanding/missing documents and handle other administrative tasks on behalf of attorneys.
  • Compile signature packets and final versions of PDFs and save appropriately on firm document management system.
  • Utilize Firm document management systems, databases, and other resources to organize and maintain all types of documents and information.
  • Provide other forms of ad hoc support to the Executive Compensation/ERISA Department as needed.
Qualifications:Education: Four-year college degree required. Experience: Experience supporting an Executive Compensation/ERISA transactional practice strongly preferred, or other corporate transactional practice (law firm or in-house), but not required. Skills and Abilities: Must be able to effectively work and communicate with all levels of partners, attorneys, and staff, as well as clients. Must be able to keep information confidential. Must be proficient in multitasking and time management, prioritizing deadlines and time-sensitive tasks, and working under pressure to meet important deadlines in a fast-paced environment. Must communicate effectively with respect to competing priorities. Must have a client service mindset and be highly responsive. Requires effective written and verbal communication and strong organizational and interpersonal skills. Must be a self-starter, detail-oriented, able to work independently as well as part of a team, and deliver quality work with a high degree of accuracy. Prior organizational experience and proficiency with various software programs including Word and Excel. Proficiency with document management systems and online database management. This position requires punctuality and attendance three days a week in the office. The actual salary offered will be based on a number of factors including but not limited to the qualifications of the applicant, years of relevant experience, level of education attained, certifications or other professional licenses held, and if applicable, the location in which the applicant lives and/or from which they will be performing the job. New York Salary Range $60,000-$125,000 USD
