Job Description:
Work with the Global Transaction Tax team in providing practical tax advice to corporate and private equity buyers and sellers throughout the transaction life cycle. Develop and deliver quality tax planning approaches by providing timely and responsive services and work product that meets and exceed client expectations. Responsible for reviewing and commenting on tax aspects of financial models, purchase agreements, and structuring calculations. Take ownership of assigned workstreams, including creating and preserving relevant diligence work products, ensuring management can timely review and provide constructive feedback of deliverables, and proactively respond to changes in workflow. Coordinate with federal and international tax team members, as well as financial and operational due diligence team members, to timely deliver highest quality integrated work product. Responsible for developing and managing client relationships by communicating and responding to client expectations, gathering data relevant to the engagement, and tailoring project deliverables accordingly.
Minimum Requirements:
LLM or Master's degree in Taxation or Tax Track and minimum 2 years of experience in any occupation involving international tax structuring for M&A. Experience must include: working with tax compliance; performing accounting and financial reporting; tax due diligence to assess target's historic tax profile, planning, tax examination, acquisition/disposition and filing history; evaluating tax attributes; assisting with reviewing tax aspects of financial models and purchase agreements; modeling transaction scenarios; and drafting memoranda on judicial tax matters.
