Senior Commercial Counsel
Dataminr is looking for an attorney to join its legal team to focus on commercial transactions. As Senior Commercial Counsel (Director Level), you will play a strategic role in helping Dataminr achieve its goals in a time of dynamic growth.
You willbe the central point of contact for commercial contracts and will report into the Associate General Counsel. In this role, you will support Dataminr's commercial activities by drafting and negotiating customer, partnership, and vendor contracts, working with a globally dispersed team. Moreover, this position will offer exposure to cutting-edge SaaS technology areas such as privacy, security, and AI/ML, allowing you to stay at the forefront of the industry.
Responsibilities:
- Review, draft, and negotiate a wide variety of in-bound and out-bound commercial agreements, including SaaS, DPAs, cybersecurity, marketing, product, engineering, and other vendor agreements, partnering with relevant business stakeholders as necessary.
- Draft and negotiate legal agreements with Dataminr partners, including reseller, distributor, technology integration, marketplace, co-sell and other complex partner agreements.
- Iterate on existing processes related to negotiation best practices, applicable legal and compliance requirements, and other relevant legal issues for the go-to-market organization.
- Partner closely with product and engineering on new product integrations and with the partner-focused technical services team on how best to support our partners.
- Support and coach sales teams in both the public and private sectors on deal structure and contract negotiations.
- Partner with sales, sales operations, finance, cyber, customer success, and other functions to ensure effective and frictionless legal support for customer transactions.
- Continuously improve and update template agreements and create and maintain negotiation playbooks.
- Lead and assist with special projects, such as developing templates and standard positions, contract lifecycle management, streamlining procurement operations, and creating scalable processes to expedite commercial contract execution.
Desired Skills and Experience:
- Strong sense of ownership, inquisitive and enthusiastic about technology, enjoys being continually challenged, and can demonstrate sound judgment in ambiguous situations.
- Deep knowledge of enterprise software, cloud services, strategic partnerships, licensing, intellectual property, contract, data privacy and security issues.
- Experience working with go-to-market teams in both the public and private sectors.
- Significant experience with drafting and negotiating complex licensing and commercial agreements.
- Proficiency with IP, product, privacy, and/or regulatory issues is a big plus.
- Enjoys the responsibility and autonomy that comes with owning problems and finding solutions and effectively navigates a diverse organization involving a wide variety of audiences, including under time-sensitive situations.
- Demonstrated knowledge of data privacy and artificial intelligence regulations including GDPR, the EU AI Act, and emerging privacy laws in other jurisdictions.
- Business judgment and ability to assess legal risk while providing practical advice.
- Strong written and oral communication skills, especially when explaining contractual and legal issues, and when interacting with customers and senior management.
- Ability to organize, prioritize and manage deadlines in a fast-paced and demanding work environment, and work as a team member of the legal department in a scalable, autonomous, and accountable manner, demonstrating flexibility across deal types and time zones.
- Thoughtful and persuasive interpersonal skills and ability to build and maintain strong working relationships.
- Ability to deliver complex information in an understandable way, and can manage high touch business partners in a constantly shifting landscape.
- 6+ years of relevant transactional experience gained at a technology-focused law firm and/or reputable technology company.
- Have a JD from an accredited law school and a license to practice in New York.

The base salary range for this position is $210,000 - $275,000. Actual salary will be based on a number of factors including, but not limited to, geographic location, applicant skills, and prior relevant experience. In addition to the benefits set forth above, the compensation package for this role also includes a discretionary bonus.
