Job Description:

Kindle Energy LLC specializes in the management, optimization, and development of power generation in the United States and Canada and is a portfolio company of Blackstone Group Inc. Blackstone is a leading global alternative asset manager with $1 trillion of total assets under management. Currently, Kindle Energy provides Asset Management and Operations support for multiple power generation assets owned by Pelican Power LLC that are located north and west of Baton Rouge, Louisiana.

Kindle is working with Pelican Management Co to recruit for the role of Senior Counsel – Pelican Power, a key role in our team supporting the power generation business of Pelican Power. The position may be remote, preferably in Louisiana or Texas, with the occasional need to travel to Louisiana to meet with plant personnel and to Princeton, NJ, to meet with the Asset Manager's team. This position will report to the regional leadership team with additional direct reporting to the Kindle Energy's General Counsel as well as with the Assistant General Counsel of the Asset Manager. The Sr. Counsel – Pelican Power, will have frequent exposure to the management team as well as outside counsel partners, vendors, clients, and investment entities. This newly created role will provide legal support for various power generation facilities owned by Pelican Power that are primarily located in Louisiana. The position requires limited travel within the United States.

Diverse Workflow for Portfolio Includes:

  • Transactional: negotiate, draft, and analyze a wide variety of contracts and legal documents, including Confidentiality Agreements/NDAs, vendor terms & conditions, lease agreements, consulting service agreements, engagement letters, master service agreements, and similar contracts
  • Regulatory: work with functional team members and outside counsel on filings or interests of the companies we manage before applicable state or federal commissions and agencies (including MISO, FERC and applicable environmental agencies)
  • Litigation: advise the companies we manage with respect to disputes and litigation, with outside counsel and Asset Manager's in-house legal team as appropriate
  • Compliance and Corporate: corporate record keeping, counsel internal team members and portfolio clients on legal issues, company policies, and compliance matters; oversee policy implementation and compliance as necessary
  • M&A: due diligence for sales or acquisitions, assist with Purchase and Sale Agreements and Schedules and all work streams along with outside counsel and relevant functional groups of the Asset Manager, including the legal team

Key Job Responsibilities:

  • Transactional: negotiate, draft, and analyze a wide variety of contracts and legal documents, including NDAs, vendor terms & conditions, lease agreements, consulting service agreements, engagement letters, master service agreements, and similar contracts
  • Work collaboratively with Asset Manager's team members, especially with the Assistant General Counsel as well as plant personnel and consultants on a variety of matters, including procurement, operations, real estate, construction, insurance claims, environmental matters and regulatory matters (federal and state)
  • Assist with M&A, development, trading, financing, and litigation activities based on the lawyer's experience, interests, and the needs of the Asset Manager to support Pelican Power

Skills & Experience Requirements:

  • Juris Doctor degree from an American Bar Association-approved law school, licensed to practice law in the state of Louisiana, Texas, or state of residence
  • 10-15+ years of experience in a corporate law environment with some prior experience at a law firm or a governmental agency; in-house experience is preferred but not required
  • Prior experience in the power / energy industry is highly preferred
  • Specific experience in some or all of the following areas highly recommended: transactional (contracting and procurement), real estate, regulatory (including familiarity with RTOs/ISOs, environmental)
  • Experience in some of all of the following areas preferred: M&A, litigation
  • Strong oral and written communication and professional interpersonal skills to successfully interact with all colleagues, peers, plant personnel, senior management, and external constituencies
  • Self-motivated, detail-oriented, relies on experience and independent judgment to plan and accomplish goals encompassing multiple priorities and deliverables while seeking guidance as appropriate
  • Willing to handle a mixed and diverse workload
  • Strong team player, communicates and collaborates well with existing legal team members
  • Ability to successfully operate with diverse functional groups within Pelican Management Co and the Asset Manager's team to support Pelican Power
