Kindle Energy LLC (“Kindle”) specializes in the management, optimization, and development of power generation in the United States and Canada and is a portfolio company of Blackstone Group Inc. Blackstone is a leading global alternative asset manager with $1 trillion of total assets under management. Currently, Kindle manages 8.7+ GWs of generation in Ohio, Indiana, and Louisiana, with a 700 MW CCGT project under construction in Louisiana and a 160 MW natural gas fired facility under construction in Colorado.
Kindle is currently recruiting for the role of Senior Counsel - Development, a key role in our in-house legal team supporting the growth of our development business. The position is based in Princeton, NJ and will report directly to the General Counsel and work closely with the development team, with frequent exposure to the executive management team as well as outside counsel partners, vendors, clients, and investment entities. This newly created role will provide legal support for development projects at Kindle, from inception through financing, construction and operation and/or sale of the constructed power generation facilities. The position requires minimal travel within the United States.
Key Job Responsibilities:
- Assist development team with legal workflow from inception through conclusion of projects to support the development, financing, construction, and operation of natural gas fired power generation facilities
- Negotiate, draft, and analyze a wide variety of contracts and legal documents, including NDAs, vendor terms & conditions, real estate options and purchase agreements upon site selection for the generation facilities, consulting service agreements, engagement letters, master service agreements, and similar contracts
- Negotiate long-term service agreements (LTSAs) for power generation facilities; engineering, procurement, and construction agreements (EPC agreements); equipment supply contracts for power generation; offtake agreements including tolling agreements and power purchase agreements (PPAs)
- Work collaboratively with Kindle team members and consultants on issues that arise in the context of development, including regulatory matters (federal and/or state)
- This attorney will focus on a particular subset of the workflow referenced above to support our multiple pending projects and the pipeline of new projects
Skills & Experience Requirements:
- Juris Doctor degree from an American Bar Association-approved law school, licensed to practice law in the state of New Jersey or state of residence
- 10-15+ years of experience in a corporate law environment, law firm and/or a governmental agency; in-house experience is preferred but not required
- Prior experience in the power / energy industry is required
- Specific experience in some or all of the following areas with respect to natural gas fired power generation highly recommended: transactional (experience with LTSAs, EPC agreements, equipment supply for power generation, PPAs), real estate, regulatory (including familiarity with RTOs/ISOs), construction law
- Strong oral and written communication and professional interpersonal skills to successfully interact with all colleagues, peers, senior management, and external constituencies
- Self-motivated, detail-oriented, relies on experience and independent judgment to plan and accomplish goals encompassing multiple priorities and deliverables while seeking guidance as appropriate
- Willing to handle a mixed and diverse workload in a fast-paced work environment
- Strong team player, communicates and collaborates well with existing legal team members
- Ability to successfully operate with diverse functional groups to support Kindle's priorities and business
