Job Description:
The Senior Counsel, Corporate Transactions provides legal counsel on M&A and other strategic transaction matters such as acquisitions and dispositions, venture capital, equity joint ventures, strategic alliances and other partnership arrangements focused on international and domestic markets from the beginning through integration/separation and supports antitrust work. Acts as liaison between the subject matter experts and business colleagues in relation to integration and other matters as needed. Is adept at coordinating and working in concert with other subject matter experts involved in a transaction; conducting legal due diligence; drafting and reviewing various types of transaction documents and working with business partners on general problem solving. Works effectively with and manages outside counsel. Works well across time zones and in a matrixed environment. Anticipates legal and deal issues, and designs and executes strategies to mitigate risk and achieve superior value. Reports to the Chief Counsel, Corporate Transactions. Responsibilities, include but are not limited to: Draft, review and negotiate transaction agreements and documents working closely with legal subject matter experts and with internal business clients. Negotiate resolutions to disputed matters consistent with Cigna's objectives. Maintain and update a set of approved contract templates. Routinely look for creative interpretations or application of law. Effectively matrix within the legal department and with critical business partners outside of the legal department including corporate development/business development, compliance, privacy, information technology and operations. Share knowledge and skills in areas of subject matter expertise with other Cigna legal counsel, in keeping with the legal departments collegial atmosphere. Work closely with business, financial and regulatory colleagues identifying strategic and business issues including critical transactional issues, risks or impediments. Maintain good corporate governance in respect of transactions. Support the development and implementation of comprehensive, coordinated company-wide legal strategies, policies and procedures related to antitrust. Interface with key external constituents including state Attorneys General, and relevant state and federal regulators relating to antitrust matters. Train legal and business colleagues on M&A, venture capital and antitrust matters. Qualifications Cigna is seeking an experienced attorney with the requisite legal background in antitrust with transactional experience preferred. The following background is strongly preferred: Juris Doctorate from an accredited school of law, and a current license to practice law. At least 8 years of total work experience as a business lawyer in law firm and corporate settings; relevant work experience within the financial services sector preferred. Ability to draft and negotiate M&A, venture capital and other strategic transactions. Ability to prioritize, multi-task, and manage projects in an efficient manner. Proven ability to identify and mitigate legal and business risks in strategic transactions. Excellent verbal and written communication skills and demonstrated ability to influence, collaborate and negotiate successfully. Ability to maneuver through business barriers to facilitate solutions. Demonstrated track record in establishing client confidence and personal credibility. Desire to learn new areas of practice and develop subject matter expertise in areas of law relevant to Cigna's industry. Must be willing to travel internationally and domestically, often on short notice and sometimes for extended time, depending on the requirements of a strategic transaction.
