Position to sit in either NYC or CT.
Law firm experience required. Law firm & inhouse experience is a plus.
- Work either alone or with outside counsel (as appropriate) on preparing, reviewing, and negotiating all fund-related agreements, including PPMs, IMAs, subscription documents, onshore/offshore feeder documents, LLC and partnership agreements, side letters, service provider agreements and related documentation
- Oversee all corporate, investment management, and fund-related legal matters, including the negotiation of investment management agreements, management company corporate governance, fund offering and marketing issues, and general legal matters
- Oversee all offshore fund governance matters, including drafting board materials and minutes
- Work in conjunction with Chief Compliance Officer on fund regulatory filings and provide other related legal and regulatory support
- Outstanding academic credentials
- 6-12yrs years in an investment management group at a major international law firm or handling private fund formation work at a complex investment manager
- Strong familiarity with Investment Advisers Act of 1940, the Investment Company Act of 1940 and CFTC/NFA rules and regulations applicable to CPOs and CTAs
- Experience in foreign regulations as they apply to a US manager offering investment advisory services outside the US via separate accounts and commingled pools
