Job DescriptionJob SummaryWe are looking for an experienced corporate transactional attorney to join its Global Legal and Compliance ( GLC ) Team, as Senior Legal Counsel or Assistant General Counsel - M&A and Business Development. This role will support M&A and Business Development in North America and Europe. The attorney will work closely with Corporate Development and Business Development teams across the globe including supporting domestic and international M&A, complex in and out-licensing, collaborations and alliance management. This role will be key in driving Dr. Reddy's strategic goals. Title will depend on years of experience. Roles & Responsibilities
  • You will be responsible for leading, coordinating and managing acquisition and divestiture deal activities, including drafting and negotiating the letters of intent, term sheets, purchase agreements (asset, stock, merger, etc.) license agreements, development agreements, collaboration agreements, and similar.
  • You will be responsible for identifying and resolving complex legal issues that arise in M&A and licensing matters.
  • You will be responsible for advising senior management and cross functional teams on legal and commercial issues arising in connection with transactions.
  • You will be responsible for driving robust due diligence processes, including external legal support, to identify, assess and communicate legal and deal risks and implement appropriate risk mitigation.
  • You will be responsible for providing advice in connection with the planning and implementation of integration plans.
  • You will be responsible for working with internal teams of subject matter experts including finance, IP, tax, HR, Digital Process Excellence, compliance, data privacy and more.
  • You will be responsible for working with Global Legal and Compliance Department to implement and improve processes.
  • You will be responsible for proactively identifying opportunities to for the legal and business teams.
  • You will be responsible for providing clear and concise advice to internal stakeholders.
  • You will be responsible for providing innovative ideas in complex areas of law and business.
  • You will be responsible for providing mentorship to colleagues.
  • This position is in a hybrid capacity (3 days onsite, 2 days remote).
  • Travel Requirement: Approximately 20%.
QualificationsEducational qualification: Juris Doctor degree from an accredited law school in the United States; member of at least one state bar in good standingMinimum work experience: 5 to 8 years of experience as an attorney in a law firm and/or in-house with a life science companySkills & attributes:
  • Significant mergers and acquisitions transactional experience required.
  • Substantial experience drafting and negotiating complex pharmaceutical licensing and collaboration transaction required.
  • Experience managing and leading transaction teams.
  • Life sciences experience a significant plus.
  • Experience with drafting and negotiating complex pharmaceutical licensing agreements.
  • Excellent legal analysis skills.
  • Effective, concise communicator.
  • Ability to work in a fast-paced environment, meet tight deadlines and act decisively.
  • Familiarity with specialized subjects that arise in transactional matters, including securities laws, tax, IP, antitrust, employment, data privacy, regulatory and technology.
