This is the fastest growing part of our business, with a lot of growth opportunity. In this role, the Tax Counsel will work on structuring and operationalizing new retail products, including RICs, REITs, and non-traded operating companies. This role will have global coverage, which will include structuring funds and feeders in Luxembourg and other European jurisdictions as well. The Tax Counsel will also cover the Apollo secondaries business and other products that cross multiple business segments, like Apollo Aligned Alternatives (AAA). While the Tax Counsel will partner with outside counsel as it relates to structuring and investor-level sensitivities, building relationships with our client and product solutions team, product structuring business, and Global Wealth Management Solutions team will be critical to this role. The Tax Counsel will also work closely with a wide range of in-house groups including legal, finance, tax reporting, operations, and fund finance. This role is part of a small team which covers all the firm's tax advisory demands/needs.
Primary Responsibilities:- Work closely with the product structuring team to develop new retail products, including advising the marketing team on tax considerations with respect to proposed terms, and working with internal and external counsel on legal documentation and offering documents
- Structure various entry points for investors in different jurisdictions and with different tax sensitivities
- Work closely with legal, deal teams and funds teams to ensure that investments are structured in accordance with what is required by the fund structure. Develop processes to ensure maintenance of fund structure requirements.
- Monitor, track and ensure prompt and appropriate tax support for Apollo's secondaries business (S3)
- Prepare internal memos on tax analysis
- Advise and make presentations to senior management and employees on tax-related matters
- Partner and interface with legal and tax finance on all funds and transactions Supervision of, and collaboration with, external legal counsel and accounting advisors
Qualifications & Experience- Juris Doctorate from an accredited law school; member in good standing with the New York State Bar Association
- 10-12+ years of relevant legal experience; preferably with experience at a global financial services firm/alternative asset manager with retail products
- Fund structuring experience is required
- Experience with RICs, REITs or non-traded OpCos is a plus
- Tax M&A experience is a plus
- Experience with fund of funds is a plus
- Flexibility to work across different business units as needs arise

Pay Range300,000The base salary range for this position is listed above. This position is also eligible for a discretionary annual bonus based on personal, team, and Firm performance. Compensation ranges are based on several factors including job function, level, and geographic location. Final offer amounts are determined by multiple factors including candidate experience and expertise, and may vary from the amounts listed here.
