Staff Attorneys sign three-month contracts, which are renewable depending on their performance and the needs of the assignment. Candidates for New York positions must be admitted to practice in the State of New York. Candidates for Washington, D.C. positions must be admitted to practice in the District of Columbia. All Candidates need to have a minimum law school G.P.A. of 3.0. Please attached your law school transcript. This position is on a hybrid schedule.
ResponsibilitiesManage and coordinate for various Private Funds clients:
- Investor onboarding process, including review of investor documents and subscription materials (including AML material) and coordinating with investors and client
- Transfers of LP interests process, including drafting and negotiating of transfer documents
- MFN election process, including preparing MFN charts and reviewing elections
- Side letter compliance process, including preparing master side letter charts and bespoke compliance charts (e.g., investment opt-outs)
- Form documentation update process, including tracking best practice updates to fund terms
- PPM and Form ADV update process, including tracking best practice updates and maintaining master compendium of risk factors and conflicts disclosure
- World Sky compliance process, including maintaining master list of advice received from local counsel
- Form D process, including preparing initial Form D for new fundraises and annual amendments and coordinating state filings
- Corporate entity formation process, including drafting formation documents
- Alternative Investment Vehicle process, including drafting of AIV documents
- Status list updates process, including coordinating with funds team and client on updates
Salary: $110,000. Paul, Weiss offers competitive compensation and benefits packages.
